RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
NATIONAL CITY AUTHORIZING THE MAYOR TO EXECUTE
AN AGREEMENT WITH VAN DYKE AND ASSOCIATES FOR
DEVELOPMENT PLANS OF LAS PALMAS PARK
BE IT RESOLVED by the City Council of the City of
National City that the Mayor is hereby authorized to execute
an agreement with Van Dyke and Associates and the City of
National City, for development plans of Las Palmas Park, a
copy of which is on file in the Office of the City Clerk.
PASSED and ADOPTED this 7th day of November, 1989.

AGREEMENT
THIS AGREEMENT is made by THE CITY OF NATIONAL CITY, a
municipal corporation, herein called "City," and VAN DYKE &
ASSOCIATES, a California corporation, herein called "Consultant."
PROJECT UNDERSTANDING
Consultant understands that the City of National City has
funds in the amount of $160,000 to develop a portion of Las Palmas
Park to include the area south of the entrance drive and west
adjacent to the solar panels. The improvements would include
general park elements of trees, shrubs, turf and the parking area.
It is understood that topographic and utility information may be
available from the engineering consultant for the Las Palmas Park
gymnasium and tennis courts. It is the intent of the parties to
utilize whatever information is available from either the City or
it's consultants as base documentation for this project. Field
verification of topo information will be required.
It is further understood that it is the City's intent to
develop schematic plans sufficient for presentation to various
boards and commissions to obtain approval. Design development and
construction documents, including cost estimates and specifications
are also to be included. The landscape architect would be
available for consultation during bidding and construction at the
request of the City Engineer.
SCOPE OF SERVICES
Consultant will meet with Park & Recreation staff to establish
a precise schedule for work, including the dates of major
milestones for the project, i.e., schematic drawings, design
development and final construction documents, etc. This schedule
will be adhered to by Consultant.
1. Site Analvsis/Data Collection/Work Plan
Site analysis, review of available documentation and
necessary data collection will be performed by consultant in order
to identify the opportunities and constraints of the site, as it
relates to the proposed improvements.
2. Schematic Design Phase
Based on information obtained from City staff and other
resource material, Consultant will prepare schematic plans to fix
and identify the scope of the construction project. This will
include the siting of parking area, general grading and drainage
concepts for the park development, plan material groupings,
walkways or other elements desired by City in the completion of the
project. This work will include the preparation of a presentation
drawing to be used by Consultant and Parks' staff in making
presentation to various boards and commissions for approval prior
to proceeding to the next phase of document preparation.
3. Design Development
When the project has received approval from the schematic
design phase, Consultant will prepare design development drawings
showing the extent of work and the exact location of various
elements presented on the base construction project. This will
include the siting of parking area, general grading and drainage
concepts for the park development, plant material groupings,
walkways or other elements desired by City in the completion of the
project. This work will include the preparation of a presentation
drawing to be used by Consultant and Parks' staff in making
presentation to various boards and commissions for approval prior
to proceeding to the next phase of document preparation.
4. Construction Documents
Consultant will prepare 100% of the construction
documents for the project, including grading plans, planting plans,
irrigation plans, layout plans, details and specifications to
accurately communicate to proposing contractors the entire scope
of work. These documents will be prepared with the understanding
that the $160,000 is the total funds available, including
consultants' fees and costs. The construction project will not
exceed the maximum construction budget available.
5. Bid Phase and Construction Representation
Consultant will be available to assist City in seeking
and evaluating contractor bids for the project. Consultant will
further be available to assist City in observing the execution of
the project, making determination that the contractor is performing
the work in accordance with the plans and specifications. The
landscape architect would be available to review the contractor's
application for payment, as requested by the City Engineer.
SCHEDULE OF WORK
The schedule of work will be established to meet the City's
requirement for completion. Document completion is estimated at
sixty (60) days.
CONSULTANTS
The completion of this project will require the services of
a professional civil engineer. The parties have designated Bement,
Dainwood & Sturgeon as the civil engineering consultant.
PROFESSIONAL FEES
The fees for the scope of services identified above,
consistent with the work requested by the City of National City,
is a lump sum of Fifteen Thousand Eight Hundred Dollars
($15,800.00).

For reimbursable expenses and additional expenses, if
required, a maximum fee of $4,000.00 will be paid. Reimbursable
expenses include the cost of providing documents, reports, etc.,
requested by City which are not included in Consultant's basic
services. Compensation for additional services, including bid
phase and construction observation, or due to changes in the scope
of work, will be computed at the fixed rate of three (3.0) times
Consultant's actual payroll costs.
Van Dyke & Associates carries professional liability
insurance, "Errors and Omissions," in the amount of $250,000.
OTHER PROVISIONS
Consultant agrees to indemnify, defend and hold harmless, at
its sole cost and expenses, the City of National City, its
officers, agents, employees and volunteers against ank and all
liability, loss, or expense, including defense costs, legal fees,
and claims for damages arising from the extent of Consultant's
sole negligence only.
Consultant will provide public liability insurance in the
amount of $1.0 million during the term of this agreement. The City
of National City shall be an additional insured. Consultant shall
provide certificates of such insurances to the Community
Devvelopment Commission and to the City.
IN WITNESS WHEREOF, this Agreement is executed by the City of
National City, acting by and through its Mayor pursuant to
Resolution No. 16,105, authorizing such execution and by Consultant
this day of , 1989.
