HomeMy WebLinkAboutCC RESO 15,197RESOLUTION NO. 15,197 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NATIONAL CITY, CALIFORNIA, AUTHORIZING AND APPROVING A LEASE AGREEMENT BETWEEN THE CITY OF NATIONAL CITY, CALIFORNIA AND THE COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF NATIONAL CITY, CALIFORNIA WHEREAS, the Community Development Commission of the City of National City, California (CDC) is proceeding with the construction of the Kimball Senior Center, 1221 "D" Avenue, National City, California pursuant to a contract with Frank Stahl Construction Co., San Diego, California, executed October 16, 1986; and WHEREAS, the CDC executed a contract with the State of California dated April 25, 1986 for a grant pursuant to the California Senior Center Bond Act of 1984 in the amount of $317,526 toward construction of the Senior Center and said contract and the CDC's application, which is a part of said contract, provide that the City of National City shall operate the Senior Center for the uses and purposes set forth in the application and in the contract for a period of not less than 20 years and the CDC has offered the City a lease agreement for this purpose by adoption of its Resolution No. 87-3(Senior Center) on January 13, 1987; and WHEREAS, the City of National City, California, wishes to approve said lease agreement. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of National City, California, that the Mayor is authorized to execute, on behalf of the City of National City, the agreement entitled "Lease Agreement between the CDC of the City of National City, California, and the City of National City, California, for the Kimball Senior Center, 1221 "D" Avenue, National City, California" and the City Clerk is authorized to attest thereto. RECITAL Lease Agreement Between the Community Development Commission of the City of National City, California and the City of National City, California for the Kimball Senior Center, 1221 "D" Avenue, National City, California lease agreement is entered into this 1i0 day of , 1987. (1) The Community Development Commission of the City of National City, California (CDC) pursuant to Resolution No. 85-45(Seniors Center), adopted August 27, 1985, authorized and approved an application for funds under the California Senior Center Bond Act of 1984 for the Kimball Senior Center, 1221 "D" Avenue, National City, California (Senior Center). (2) The County of San Diego Department of the Area Agency on Aging and its Advisory Council recommended approval of the application in the amount of $317,526 and the County Board of Supervisors, on October 15, 1985, approved said application and forwarded it to the California Department on Aging which approved the application for funding on April 16, 1986. (3) The CDC executed a contract with the State of California, (contract number SB-8586-295) dated April 25, 1986, for a Senior Center Grant in the amount of $317,526. (4) The multipurpose Senior Center was designed by Architect James Purcell and Associates, San Diego, California, and after competitive bidding, Frank Stahl Construction Co., San Diego was awarded a contract for construction in the amount of $582,750 on October 16, 1986. The building is 5,950 square feet and the site has 95 parking spaces, landscaping and lighting. (5) The CDC owns the site which was purchased from the Diocese of San Diego for $602,000 on March 22, 1985. The site consists of 1.727 acres (75,228 sq.ft.) and is legally described as follows: "Lot 6 of Center City Project, in the City of National City, County of San Diego, State of California, according to map thereof No. 8807, filed in the Office of the County Recorder of San Diego County, February 24, 1978" The site is depicted on Exhibit "A", attached hereto and incorporated herein. (6) The CDC is the owner of the Senior Center. The sources of funding for the Senior Center are as follows: State Grant CDBGP 1986-87 City of National City $317,526 225,000 100,000 $642,526 The budget for the Senior Center is as follows: Architect $ 40,000 Soils Engineer 2,844 Civil Engineer 1,150 Construction 582,750 Furnishings 15,782 $642,526 The total value of the Senior Center is $602,000 (land) and $642,526 (facility) for a total of $1,244,526. (7) The Senior Center will be completed and will be operational by April, 1987. II. AGREEMENT: The CDC agrees to lease the land and the facility of the Kimball Senior Center as depicted on Exhibit "A", hereof to the City of National City, California and the City of National City agrees to lease the land and the facility from the CDC for a period of 20 years from the date of completion of the facility and the issuance by the City of a certificate of occupancy therefor, for the lease rent of $1 per year due and payable each year on the anniversary date of said certificate of occupancy. The City agrees that it shall operate the Senior Center subject to and in a manner fully consistent with the following: (1) The Contract between the CDC and the State of California Department of Aging executed June 10, 1986, Exhibit "B" attached hereto and incorporated herein. (Article III, paragraphs A and B of said Contract require that the Project be carried out in a manner consistent with the Project Application and the Contract. The Project Application is incorporated by reference in the Contract and is made part thereof.) (2) The recorded Notice of Assurances to the State of California of the Use of Property and/or the State of California's Right of Recapture, Exhibit "C", attached hereto and incorporated herein. (3) The City of National City shall manage, staff, maintain, make repairs and replacements, insure and operate the Senior Center at the City's sole and separate expense. At the end of the 20 year term of this lease and upon satisfactory completion and fulfillment of the conditions as set forth in paragraph (1), (2) and (3) immediately hereinabove, the CDC shall convey the site and the facility to the City of National City for $1.00. -2- COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF NATIONAL CITY, CA CITY OF NATIONAL CITY, CA George I."Waters, Chairman ATTEST: nold A.
