(a) Modification of the basic contract is necessary to facilitate repair of an approximate 2,200 foot section of City of National City sewer line at Naval Station (NAVSTA), San Diego, California. DATE SIGNED (Signature of person authorized to sign) NSN 7540-01.152.1070 PREVIOUS EDITION UNUSABLE 30- 05 FOR COMMANDER, NAVAL FACILITIES ENGINEERING COMMAND, STANDARD FORM 30 (REV. 10-83) Prescribed by GSA FAR (48 CFR) 53.243 )l ATTACHED TO AND MADE A PART OF CONTRACT N62474-80-C-5105-P00001 0191W PAGE 2 OF 3 WHEREAS, it was the intent of the parties to the basic contract that the facilities required to furnish service hereunder would remain the property of the Government, and at all times during the life of this contract or any renewals thereof, shall be operated and maintained by the Government; and WHEREAS, the sewer line transports both NAVSTA San Diego and City of National City (City) sewerage, predominately NAVSTA San Diego sewerage (73%); and WHEREAS, Navy Public Works Center (PWC), San Diego, to eliminate a potentially serious health and/or nuisance problem, has been pumping the raw sewerage around the collapsed sewer line section as an emergency measure; and WHEREAS, PWC San Diego, to insure the integrity of Navy's sewer distribution system, can accomplish the required repair and/or replacement of the badly deteriorated/collapsed sewer line located on NAVSTA San Diego; and WHEREAS, the City is agreeable to PWC San Diego accomplishing the required repair/replacement and is willing to transfer ownership of the collapsed/deteroriated section of the sewer line to the Government by separate real estate agreement; and WHEREAS, the City has agreed to pro rata sharing for the repair/replacement of the collapsed/deteriorated sewer line; and NOW THEREFORE, the parties agree to the following: 1. SERVICE TO BE RENDERED. The Government will repair 2,200 feet of collapsed/deteriorated City sewer line section located on the eastern section of the Naval Station, San Diego, from approximately 30 feet NE on 2nd Street to Navy Manhole No. 9/36 E on Hoover Avenue to Navy Manhole No. 9/38 S on 4th Street to Navy Manhole No. 9/46 E to Navy Manhole No. 9/61, all as depicted in Exhibit "A" attached hereto and made a part hereof. 2. SERVICE COST RESPONSIBILITIES. (a) In consideration of the facilities and services to be provided by the Government as set forth herein, the City agrees to assume responsibility for their proportionate share of the actual cost of the repair/replacement of the deteriorated/collapsed sewer line section project as set forth in paragraph 1. (b) The City further agrees to assume responsibility for their proportionate share of the actual cost of the operation and maintenance incurred by the Government in support of the sewer facilities as set forth in paragraph 1. COST (a) Repair Sewer System. The estimated Government cost to accomplish the repair/replacement of the collapsed/deteriorated sewer line section and the City's proportionate share of this cost is shown on Exhibit "B". These costs shall be adjusted after the Government has determined the actual cost. The Government agrees to set up generally accepted accounting methods for assessing these actual costs. The City shall have the right to review these records at any time it chooses during regular office hours. (b) Operation and Maintenance Cost. The 0 & M rate shall be based directly upon the cost incurred in providing such service. The rate shall be established initially using PWC San Diego projections for the appropriate applicable cost, as agreed by the parties in their negotiation establishing this rate procedure. This rate shall be adjusted annually, after the Government has determined the actual cost. 4. LIABILITY. The City shall hold and save the Government, its officers, agents and employees, harmless from liability of any nature or kind, for or on account of any claim or action that may be asserted in connection with the services furnished under this modification. The Government will not be held liable for failure to provide continuous service and will not guarantee quality or quantity of service to be supplied nor will the Government be made liable for termination of service. 5.
