RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF NATIONAL CITY
EXPRESSING ITS PREFERENCE THAT THE
DISSOLUTION OF ULTRONICS, INC. NOT OCCUR
WHEREAS, Ultronics, Inc. is a cable television franchise holder in the City
of National City and has currently built cable television facilities to offer its services to
over 50% of the City; and
WHEREAS, Ultronics, Inc. is operating under the trade name of National
City Cable, Inc. and is serving 1,800 families in the City at this time; and
WHEREAS, the franchising of National City Cable, Inc. has created cable
television competition in National City, which has resulted in lower subscriber rates; and
WHEREAS, 1,800 families subscribing to National City Cable, Inc. are
benefiting from a rate which is approximately $5.00 per month lower than the basic
service rate charged to most National City families serviced by Cox Cable, the other
cable provider in National City; and
WHEREAS, many National City families subscribing to Cox Cable basic
service are also benefiting from a rate which matches National City Cable's rate as a
result of competition; and
WHEREAS, the City believes that the dissolution of the Ultronics, Inc.
(National City Cable) system would have a detrimental effect on the competitive provision
of cable television services in the City of National City, resulting in higher rates; and
WHEREAS, National City is reportedly one of approximately 54 cities out
of 11,079 cities nationally that has cable television competition; and
WHEREAS, Ultronics, Inc. has been the only franchisee to offer
competitive cable television services since cable television was first installed in National
City in the 1960's.

NOW, THEREFORE, BE IT RESOLVED that the City Council of the City
of National City does hereby express its preference that dissolution of Ultronics, Inc.
should not occur because of the detrimental effects which would result to cable television
consumers in the City of National City.
PASSED and ADOPTED this 26th day of January, 1993.
