RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
NATIONAL CITY, CALIFORNIA RATIFYING AND APPROVING
A CLOSEOUT AGREEMENT FOR THE E. J. CHRISTMAN BUSINESS
& INDUSTRIAL PARK I REDEVELOPMENT PROJECT, CALIF. R-127
WHEREAS, the Final Audit Report for the E. J. Christman
Business & Industrial Park I Redevelopment Project, Calif. R-127,
was approved by the U. S. Department of Housing & Urban Development
(HUD) Regional Inspector General for Audit; and
WHEREAS, the Certificate of Completion of Gross and Net
Project Costs was filed with HUD on April 19, 1979; and
WHEREAS, a Closeout Agreement was executed April 19, 1979
in order to financially close out the Project on April 27, 1979 and
to create a credit of $302,585 (surplus Project Grant) to the
Community Development Block Grant Program of the City of National City
in the Fifth Program Year (1979);
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of National City, California that the Closeout Agreement
between the Community Development Commission of the City of National
City and the City of National City as executed by the Community
Development Commission's Chairman and by the City's Mayor is hereby
in all respects ratified and approved.

CLOSEOUT AGREEMENT
THIS AGREEMENT, entered into by and between the Community
Development Commission of the City of National City, California (the
local public agency carrying out the project, hereafter called the
"LPA") and The City of National City, California (the unit of general
local government in which the project is located, hereafter called
the "UG"),
WITNESSETH
WHEREAS, the LPA entered into a Loan and Grant Contract No.
Calif. R-127 with the United States Department of Housing and Urban
Development (hereafter called "HUD") and a cooperation agreement with
the UG for the undertaking of an urban renewal project identified as
Project No. Calif. R-127 (hereafter called "Project"), pursuant to
Title I of the Housing Act of 1949, as amended; and
WHEREAS, the LPA and UG (sometimes referred.to collectively
herein as the "parties hereto") desire to effect a financial settlement
of the Project with HUD which will result in full repayment of all
temporary loans pursuant to Section 112(b) of the Housing and Community
Development Act of 1974 (P.L. 93-383) and the provisions of 24 C F R
Part 570, Subpart I, and such settlement under the terms of this
Agreement has been approved by resolution of the governing body of
the UG; and
WHEREAS, with respect to the Project, the approved project
activities have been substantially completed except for the sale of
all project land and the financial settlement will result in a
surplus grant and will result in the use of unearned grants for the
repayment of temporary loans; and
WHEREAS, the parties hereto --recognize and acknowledge that the
requirements with respect to certain remaining obligations as herein
set forth are a condition to the approval by HUD of the financial
settlement;
NOW, THEREFORE, in consideration of the mutual covenants, promises,
and representations contained herein, the parties hereto agree as
follows:
Section 1. Project Property
All real property owned by the LPA is enumerated
on Exhibit "A", hereof. All personal property of the LPA is
listed on Exhibit "B" hereof. The LPAs personal property
shown on Exhibit "B" is transferred by this agreement to
the "UG" for the "UG"s Community Development Block Grant
Program.
With respect to real property, the covenants set
forth under paragraphs (i), (ii), (i_ii),_and _(iv),of 24_CFR_570.801(c)(1)
shall apply.
Section 2. Low and Moderate Income Housing
Project No. Calif. R-127 is a business and
industrial project in the Redevelopment Plan of which there
is no provision for housing of any type, including low and
moderate income housing.
Section 3. Reservation of Project Funds for Outstanding
Obligations
There are no outstanding obligations for which
Project funds are being. reserved.
Section 4. Grant Surplus
Subject to the provisions of Section 5, the surplus
grant remaining after the financial settlement of the Project

shall be reserved under the UG's Ccmmunity Development Block
Grant Program, subject to the requirements applicable to the
use of funds for activities under that Program. Such surplus
funds have been included in the UG's Fifth Year Community
Development Block Grant Program Application to HUD.
Environmental requirements pursuant to the National
Environmental Protection Act and the California Environmental
Quality Act have been completed with respect to the Project and
with respect to the Fifth Year Community Development Block Grant
Program.
Citizen Participation requirements have been
completed for the Fifth Year Community Development Block Grant
Program.
Section 5. Final Audit Report
The LPA has addressed itself to the corrections
required in the Final Audit Report by the HUD Regional Inspector
General for Audit and has submitted Revised Audit=Reports to
HUD.
Section 6. Disputed Claims
Any costs or obligations incurred in connection with
this Project with respect to claims which are disputed, contingent,
unliquidated or unidentified, and/or for the payment of which
insufficient project funds have been reserved under this financial
settlement shall be borne by the UG.
Section 7. Compliance
The obligations under this Closeout Agreement
are subject to the Program Management requirements of 24 CFR
Part 570, Subpart J.
Section 8. Provisions Held Invalid
If any provision of this Agreement is held invalid,
such holding shall not affect the validity of the remainder of
the Agreement.
