MATTHEW'S EPISCOPAL CHURCH BE IT RESOLVED by the City Council of the City of National City that the Mayor is hereby authorized and directed to execute that certain AGREEMENT BETWEEN CITY OF NATIONAL CITY AND ST. MATTHEW'S EPISCOPAL CHURCH. PASSED AND ADOPTED this 19th day of August, 1975. ATTEST: 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 This Agreement, made and entered into this 19th day of August, 1975, by and between the CITY OF NATIONAL CITY, hereinafter referred to as "CITY" and St. Matthew's Episcopal Church, a nonprofit corporation, hereinafter referred to as "CHURCH" agree as follows: RECITALS: 1. CHURCH is the owner of an historical monument and building within the City of National City, located at 521 East Eighth Street, commonly known as the St. Matthew's Episcopal Church. 2. CHURCH seeks to acquire matching funds under the National Historic Preservation Grants -In -Aid program, being administered in the State of California by the State Department of Parks and Recreation, hereinafter referred to as "STATE". The purpose of the matching funds will be for the restoration of the St. Matthew's Episcopal Church. 3. STATE required that the application for such matching funds be made by a public entity, and has proposed that CITY make the application. 4. The purpose of this Agreement is to protect CITY in connection with the making of such application, and to relieve CITY of any direct liability for the performance of the conditions of the application. AGREEMENTS: 1. In consideration of CITY'S making application to STATE for matching funds under the National Historic Pre- 1 2 3 4 5 6 7 8 9 10 11 12 13 14 15 16 17 18 19 20 21 22 23 24 25 26 27 28 servation Grants -In -Aid program, CHURCH hereby agrees to perform for CITY'S benefit, all of the obligations which CITY may assume under the application to STATE. 2. CHURCH hereby warrants that it has, or will have, within the time required, funds in an amount equal to the matching funds applied for and will expend such funds for the purposes indicated in the application. 3. CITY and CHURCH agree that when the terms of the grant and matching funds have been finalized between CITY and STATE, CITY and CHURCH will enter into a supplemental agreement by which CHURCH will assume all of CITY'S obliga- tions under the Agreement between CITY and STATE. 4. CHURCH agrees that in the event that CHURCH should become dissolved or otherwise cease to exist after the grant of matching funds, but before completion of performance of the contract between CITY and STATE for matching funds, title to the St. Matthew's the use of said Episcopal Church and in any of CHURCH'S unexpended funds referred to in paragraph 2 hereof, shall vest in CITY so that CITY can fulfill its obligations pursuant to the contract with STATE.
