HomeMy WebLinkAboutCC RESO 11,256RESOLUTION NO. 11,256 RESOLUTION AUTHORIZING EXECUTION OF CONTRACT BETWEEN CITY OF NATIONAL CITY AND RICK ENGINEERING COMPANY FOR AN ENVIRONMENTAL IMPACT REPORT BE IT RESOLVED by the City Council of the City of National City, California, that the Mayor is hereby authorized and directed to execute that certain "CONTRACT FOR THE PREPARATION OF AN ENVIRONMENTAL IMPACT REPORT BETWEEN THE CITY OF NATIONAL CITY AND RICK ENGINEERING COMPANY." PASSED AND ADOPTED this 18th day of December, 1973. ATTEST: • AGREEMENT FOR THE PREPARATION Or AN ENVIRONMENTAL IMPACT REPORT BETWEEN THE CITY OF NATIONAL CITY AND RICK ENGINEERING COMPANY WHEREAS, the City of National City (City) desires to expand its existing public works center (the Project); and WHEREAS, City desires an independent and objective cv i at'_on of the environmental impact resultirn from the con-` struction of the Project; and WHEREAS, •Rick Engineering Company (contractor) is qualified to, and desires to, render all services necessary in the preparation of an environmental impact report, which report will comply in all respects with the applicable terms and provisions of the California Environmental Quality Act of 1970 so that the governing body of -1- the City may assess the environmental impact of the Project in determining whether or not to proceed with the Project. NOW, THEREFORE, for and in consideration of the mutual covenants herein contained and for other'good.and sufficient consideration, the parties hereto do agree as follows: SECTION 1 EMPLOYMENT OF CONTRACTOR: Agency hereby employs contractor to render all services necessary in preparing an environmental impact report (the Report) for the Project. - The Report shall contain all the information, exhibits, analyses, conclusions, estimates and calculations necessary to fully describe the environmental effects and considerations of the Project as those considerations and effects which areset forth in: (a) City of National City Environmental Impact Report Guidelines; (b) The statutory requirements contained in the California Environmental.Quality Act of 1970; (c) The requirements set forth in the Guidelines prepared by the California Office of Planning and Research -2- (pursuant to the California Environmental Quality Act of 1970). In addition to the foregoing, the contractor shall include within the Report such further materials as are called for in the work to be performed by his subcontractors. (END OF SECTION 1) -3- a SECTION 2 - SCOPE OF SERVICES: Contractor shall cause to be prepared the Report which shall contain all of the considerations above described. Contractor shall analyze and interpret existing studies and available data necessary to evaluate the environmental impact of the Project as above described, including,. but not limited to, the consequences of the Project: (a) Resulting from flood and drainage patterns; (b) The state and condition of soils on site; (Reference is made to: 1. Soil investigation for the proposed Bahia Vista Industrial Center, National City,'CaliforninFcbruazy 1, 1969, and 2. Soil investigation for the proposed City of National City public works yard, National City, California, to be completed by December 19, 1973. (c) Social influences arising out of the Project; (d) Impact on existing and future zoning and planning for the community affected by the Project. (e) The consequences of projected vehicular traffic occurring out of construction, of the project, including alternative and present and projected traffic patterns and volume. Pro,lect impact on geology, and discussion of seismic impact. The bioecology impact of the Project including the Project impact on all plant, animal and insect life, together with a plant, animal and insect analysis and inventory. (h) Any and all other potential adverse environmental impacts arising from the construction of the Project, the analysis of which is within the technical competence of the contractor and his subcontractors. -5- a SECTION 3 - PROGRESS REPORTS: Contractor shall submit to City . through the City Manaaer _ progress reports on the course of - the work herein called for, at such times and in such form as the City Manager :may call for. In addition, contractor shall .confer with the City Manager at such times and places as the City Manager determines to be necessary to review the course of the work herein called for. SECTION 4 - PRELIMINARY REPORTS: Preliminary reports are to be submitted as soon as possible after the collection and_evaluation of all relevant data. Con- . tractor shall prepare a preliminary draft of the report (draft). The draft shall be submitted to the City Manager for review. The City Manager as sooh as practicable -after receipt there- of, shall return the draft to contractor together with a written statement enumerating the City's qualitative review of the draft. Such corrections, additions, and deletions as are necessary shall be made to the draft to comply with the requirements set forth in the Manager's review,of the draft. Thereafter, the revised draft nall be submitted to the City • aview, which review shall be reflected in writing and delivered to Manager for final qualitative contractor as soon as practicable. After receipt of' City ac- ceptance of.the draft, as revised, contractor shall proceed to -6- prepare the environmental impact report for submission, as hereinafter set forth. SECTION 5 - FINAL ENVIRONMENTAL IMPACT REPORT: After the staff review described in Section 4 is completed, contractor shall prepare the final environmental impact report (Report) and submit the same to City as hereinafter provided. The Report shall be in writing, appropriately bound, con- taining all text, maps, plats, charts, diagrams, bibliographies and addendums as are necessary so that the report, in itself, is a complete statement of all the environmental considerations arising from the Project, the evaluation of which is called for by: (a) City of National City Environmental Impact Report Guidelines; (b) The statutory requirements contained in the California Environmental Quality .Act of 1970; (c) The requirements set forth in the Guidelines prepared by the California Office of Planning and Research. Contractor shall submit ten copies of the report, each of which shall be permanently bound and contain all exhibits and at- tachments as the original report. Upon demand, contractor shall deliver additional copies of the report reimbursable at contractor's actual out-of-pocket expenses for the preparation thereof. -7- SECTION 6 - CONTRACTOR TO ATTEND THE MEETINGS: 'Contractor and appropriate representatives of the sub- contractors shall attend all such staff and public meetings and hearings as the City Manager ' shall determine necessary for the proper preparation, review, and -acceptance of the report. SECTION 7 - TIME FOR PERFORMANCE: The work herein called for shallbe accomplished, following instructions to proceed, according to the following schedule: (a) Draft report submitted - thirtydays after commencement; (b) Final report submitted - 45 days after commencement of work (c) Contractor acknowledges that time is of the essence of this contract., Therefore, contractor acknowledges that any delay in pursuit of the work called for is a violation of the contract, and grounds for termination "for cause". SECTION 8 - TERMINATION City may, -without notice and without cause, ter - minate work hereunder. Upon render a final accounting of such a termination, contractor shall its work hereunder, the amount of which -8- a will be paid to contractor after audit and approval tractor's bill. . SECTION 9 - FEES: A maximum total fee not to exceed Fifteen Hundred .$1,500.00) Dollars will be paid to contractor for the services called for herein, as hereinafter set forth: • (a) The contractor shall keep detailed time records of all services rendered hereunder. Likewise, contractor shall keep detailed accounting records of any material expenditures made hereunder. Upon completion of the work herein called for, and acceptance of the report by City - , the fee earned by contractor, shall be paid to contractor; -9-- of con- SECTION 10 - OWNERSHIP OF WORK PRODUCT: All the work product created by contractor in the pursuit of the work herein called for shall belong to City Upon demand, contractor shall deliver to City said work product in whatever form it exists, including, but not limited to, maps, charts, diagrams, photographs, notes, memoranda and reports. City will reimburse contractor for any actual costs incurred by contractor in delivering said work product. SECTION 11 - INDEMNIFICATION - INSURANCE Contractor City and hold the se.me hrmiess zrom shall indemnify any claim or loss arising out of Rick Engineering Company's performance of the contract. Contractor shall deliver to City certificates of insurance evidencing the existence of insurance in favor of contractor as follows: (a) Public liability and property damage - $300,000 combined single limits; (b) Workmen's Compensation - coverage for all employees.
