RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT
WITH THE BANK. OF AMERICA FOR PAYROLL COMPUTER SYSTEM
BE IT RESOLVED by the City. Council of the City
of National City that the Mayor of National City is hereby
authorized and directed to execute an Agreement for payroll
computer services with the Bank of America National Trust
and Savings Association.

(CUSTOMER), and BANK OF AI RICA NATIONAL TRUST AND SAVINGS ASSOCIATION (BANK).
The charges for the -services provided hereunder shall be: -
a. Conversion Charge: S.75 per employee ($75.00 minimum)
(new employees after conversion: S.75 per employee).
b. Flat Charge: S15.00 per payroll processed for most frequent payroll;
plus S5.00 for each additional payroll processed.
c. Running Charge per employee name on Earnings Register: Weekly S.32; Biweekly/Semi-Monthly — S.35;
Monthly — S.3S.
d. If payroll output sent to two or more locations- add S2.50 to Flat Charge.
e. An additional iON of items b and c for accelerated processing (one day and two nights).
f . Job Cost/Labor Distribution Reports: S.O1 per line printed on report (S15.00 minimum charge).
g. Pay entries avenging. more than 5 per employee per pay period: S.05 per entry.
h. Stuffing paychecks in envelopes (incl. envelope): S.02 per employee. •
i. FI-2 Addresses: No charge under 100 employees; 101 or more employees $15.00 flat
at conversion. Sulnsequent changes or additions $.15 each.
2. BANK will furnish CUSTOMER will: ins:ruction sheets In which well be stated the operating methods, service payment
arrangement and performance dates required.
3. Prior to the date on which this SERVICE commences, CUSTOMER will provide the initial information required by BANK
with sufficient time to enable BANK to process the first period's records and reports.
4. BANK undertakes to process accurately and within the time provided for herein or by applicable law, the information
which CUSTOMER furnishes. unless prevented from so doing by causes beyond BANK'S control. provided that
CUSTOMER has furnished it within the times limited herein, the BANK will save and hold CUSTOMER harmless from
any claims or demands of whatever nature and by whomever made that may be made against CUSTOMER because of
BANK'S failure to comply with its obligations hereunder.
5. For Payroll Service only:
a. At inception of SERVICE, BANK has authorization to charge CUSTOMER'S commercial account at
Bank of America for the acetned employment taxes, if any, for the calendar year to date.
b. At completion of payroll computation, BANK has authorization to charge CUSTOMER'S commercial
account at, Bank of America, the following for each pay period:
1) The aggregate gross pay, plus
2) Employer's employment taxes and contributions, plus
3) The service fees as provided herein, less
4) 'Those voluntary deductions not to be disbursed by bank.
c. CUSTOMER will maintain in said account sufficient funds to cover said charges, and if they would result
in an overdraft in said account, BANK shall be under no obligation to make any payment to CUSTOMER'S
employees or to the appropriate taxing authorities.
G. It is understood that all actions taken hereunder by BANK will be based upon information -furnished by CUSTOMER,
and CUSTOMER hereby agrees to save and hold BANK harmless against any claim of whatever nature and by whomever
made that may be made against BANK as a result of its acting upon the information so furnished by CUSTOMER.
7. Nothing contained herein shall be deemed to relieve CUSTOMER of any duty which may be imposed by state or federal
law on CUSTOMER to maintain records regarding his business or his employees.
8. This SERVICE shall commence on or about and shall continue indefinitely, but may be terminated
by the CUSTOMER upon thirty (30) days written notice to the BANK, provided all service charges (including all initial
conversion fees) shall have been paid in full by such effective termination date, or by time BANK upon (60) days written
notice to the CUSTOMER.
9. The charges for this service, after one year from date of this Agreement, may be subject to change by BANK upon
sixty (60) days written notice to CUSTOMER. -
IN WITNESS WHEREOF. the parties hereto have executed this Agreement by their officers thereunto duly authorized as of
the day and year first above written.
