HomeMy WebLinkAboutCC RESO 10,165RESOLUTION NO. 10.165, RESOLUTION AUTHORIZING EXECUTION OF AN AGREEMENT FOR THE LEASE OF SCHOOL PROPERTY WITH THE NATIONAL SCHOOL DISTRICT. BE IT RESOLVED by. the City Council of the City of National City that the City Manager is hereby authorized and directed to execute an agreement for the lease of school property with the National School District for the Food Dis- tribution Center. PASSED AND ADOPTED this18th. day of August, 1970. ATTEST: AGREEMENT FOR THE LEASE OF SCHOOL PROPERTY THIS LEASE -AGREEMENT is made and entered into as 1970 of the lath day of August , -19&9, by and between the NATIONAL SCHOOL DISTRICT, hereinafter called "District", and the CITY OF NATIONAL CITY, a municipal corporation, herein- after •called "City". RECITALS.• The District owns real property and a building at the intersection of 8th and "E" Avenue in the City of National City, which is known as the Central School building. The Central School building has been declared to be unfit for use and occupancy as a school building. The City desires to assist in the establishment of a Food Dis- tribution Center for the Purpose'of distributing food stuffs to needy, eligible persons of National City and the surround- ing environs. In carrying out a food distribution program the City intends to seek and obtain the assistance and coop- eration of St Matthews Episcopal Church of National City. Inasmuch as the proposed use of the Central School building is for charitable purposes the School District desires to allow the use of said building by the City free of charge. IT IS, THEREFORE, AGREED between the parties as follows• 1. PP Mis .S. The Distriet hereby leageS to the City the eastern half of the ground floor of the Central School building, located at 8th Avenue and "E" Avenue in the City of National City. The District further leases to the City a parking lot which is located 110 feet east of the Central School building, which parking lot has been recently improved by the City. 2. TERM The term of this lease shall be one (1) year. Either party may at its option terminate this lease by giving 30 days written notice of its intention so to do to the other party. 3 USE OF PRETISES. The City shall use the leased premises for the purpose of operating a food dis- position center to distribute food stuffs to eligible needy persons of the. City of National City and its surrounding environs. In accomplishing the purpose of this lease, the City may store food stuffs, materials, records, and auxiliary egiipment necessary to carry out the primary purpose of the lease. The District agrees to provide utility services to the demised premises,.withou.t cost to the City. The City will install barricades, and/or partitions to separate the demised premises from the balance of the Cen- tral School Building, using materials to be supplied by the County. The District•shall not be concerned with any other modifications to the mechanical and/or electrical systems necessary for the food distribution program, such work being the responsibility of the operators of the program. Provided however, that no modification of the premises.shall be made without the prior consent of the District. 4. MAINTEI"ANCE. The City shall provide normal janitorial services -to maintain demised premises in as good condition as when received, reasonable wear and tear excepted. 5. HOLD HAR)fESS. To the extent it is authorized by law so to do, the City shall indemnify and hold harmless the District and its officers and employees during the term of this lease agreement and any extension thereof, from any 2 'and all cost, liability, damage or expense, including cost of suit and legal services, by reason of injury or damage to per sons or property sustained as a proximate result of the acts or omissions of the City, its employees, agents, contractors, concessionaires, or lessees, in the maintenance and operation of the food distribution program. The City will cause the is- suance of a public liability insurance policy endorsed in the name of the District as a co-insured for the purposes of this Lease Agreement. 6. SUB -LEASE. The City may sub -lease the demised premises to St Matthews Episcopal Church of National City, or some other similar c:' ritable organization., for the purpose of carrying out the food distribution program. 7. AMENDMENTS. This lease may be amended by the mutual consent of the parties, said amendment to be expressed in writing only. 8. NOTICES. Any notices required or permitted by this Lease Agreement shall be given by delivery to'the parties at the following addresses: City: 1243 National Avenue National City, California 92050 District: 801 "E" Avenue National City, California 92050 subject to the right of either party`to designate by notice, in writing, any new address to which notices shall be delivered.
