RESOLUTION. AUTHORIZING EXECUTION OF AGREEMENT
BETWEEN THE CITY OF NATIONAL CITY AND
KENNETH. K. HAYASHI & ASSOCIATES,
LANDSCAPE ARCHITECTS
BE IT RESOLVED by the City Council of the City of
National City that .the Mayor is authorized to execute that
certain Agreement for landscape architectural services at
El Toyon Park, by and between KENNETH K. HAYASHI'& ASSOCIATES
and the City of National City and that the City Clerk is here-
by directed to attest same.

AGREEMENT.
AGREEMENT by and between KENNETH K. HAYASHI & ASSOCIATES,
2442 Fourth Avenue, San Diego, California 92101, herein-
after referred to as the LANDSCAPE ARCHITECT and the CITY
OF NATIONAL CITY, hereinafter referred to as the OWNERS.
ARTICLE I: ADDRESS -
It is agreed that the OWNERS hereby retain the LANDSCAPE
ARCHITECT to render professional services for the site im-
provements of property defined as El Toyon Park (as per
exhibit "A" attached) to the extent and kind defined in
Article II, below.
ARTICLE II: SERVICES -
The professional services of the LANDSCAPE ARCHITECT shall
be rendered as follows:
Phase One: Preliminary Design Phase: Shall include the
following:
1. Scheme and program Development.
2. Consultation with OWNERS.
3. Preliminary Design Studies.

Master Plan.
Planting Plan.
Irrigation Plan.
Lighting Plan.
4. Preliminary Cost Estimate.
5. Construction Schedule.
NOTE: On approval of preliminary design studies, cost
estimate and -construction schedule Phase I shall be con-
sidered complete.
OWNERS shall furnish all necessary reference data to LANDSCAPE
ARCHITEST.

for amount of fees.

Phase Two: Preparation of Final Working Drawings.
Upon completion and approval of Preliminary plans, the LAND-
SCAPE ARCHITECT will commence with the preparation of FINAL
WORKING DRAWINGS, SPECIFICATION, ESTIMATES and CONSTRUCTION
SCHEDULE. Final working drawings shall consist of the follow-
ing which is minimum in extent.
1. Master Plan of Site.
2. Grading and Drainage Plan..
3. Irrigation Plan.
4. Lighting Plan.
5. Architectural Plans.
6. Construction Detail.
7. Planting Plan.
8. Final Cost Estimate.
9. Specifications.
10. Construction Schedule.
11. Bid Documents.
NOTE: Schedule of Working Drawings shall conform with re-
quirements set forth in Preliminary Design Phase. LANDSCAPE
ARCHITECT shall deliver to OWNERS one complete set of re-
produceable plans, one complete set of specifications and
one complete set of bidding and contract documents.
ARTICLE III: OWNER'S RESPONSIBILITIES -
The OWNERS shall furnish the LANDSCAPE ARCHITECT with all
necessary design data which shall include the following which
is. -minimum in extent.
1. Legal Plot Plan.
2. Topographic Study of Site.
3. Master Plan of Existing Utilities.
4. Budget Requirements.
-5.Design Criterias.
6. Written Approval to Proceed with Design Work.

ARTICLE IV: FEE SCHEDULE -
The OWNERS agree to pay the LANDSCAPE ARCHITECT for profess-
ional services rendered as follows:
Phase I: Preliminary Design Phase - LUMP SUM
FEE BASIS - $ 4,980.00
Phase II: Preparation of Final Working Drawings
LUMP SUM FEE BASIS - $ 12,500.00
NOTE: THE ABOVE LISTED PHASES (I AND II) DO NOT INCLUDE
ADMINISTRATIVE OR SUPERVISION SERVICES BY THE LANDSCAPE
ARCHITECT.
ARTICLE V: TIME FOR COMPLETION -
All work in Phase I to be completed by LANDSCAPE ARCHITECT no
later than March 15, 1969.
All work in Phase II to be completed by LANDSCAPE ARCHITECT no
later than June 2, 1969.
ARTICLE VI: EXTRA WORK -
a. If during the progress of the work, it is necessary
for the LANDSCAPE ARCHITECT to travel, he shall be reimbursed
for all travel and living expenses incurred.
b. If during the progress of the development of plans
or during construction the OWNERS find it desirable or nec-
essary to cause the LANDSCAPE ARCHITECT to perform additional
services other than defined in Article II, the payment for
such additional work shall be paid on an hourly basis. Hourly
rates as follows:
1. Landscape Architect (principal) $20.00 per hr.
2. Landscape Architect (associate) $12.50 per hr.
3. Project Coordinator $10.00 per hr.
4. Draftsmen $ 8.00 per hr.
ARTICLE VII: PAYMENT OF FEES -
a. Payment #1 - to be paid on completion of feasibility
study by LANDSCAPE ARCHITECT $4,980.00

b. Payment #2 - to be paid at completion of preliminary
studies 35% of fees.
c. Payment #3 - to be paid at completion of working
drawings (80% submittal) 60% of fees.
d. FINAL PAYMENT: To be paid upon completion of services
(100% submittal) Balance of fees.
NOTE: Supervision and Inspections by the LANDSCAPE ARCHITECT
not included in fees. This service to be rendered on
an hourly basis. Schedule to be submitted with Final
Working Drawings.
ARTICLE VIII: ABANDONMENT OF IMPROVEMENTS -
If the OWNER finds it necessary to abandon the project, the
LANDSCAPE ARCHITECT shall be compensated for all work completed
under Article II according to the schedule of payments des-
ignated under Article VII. Scheduled items not completed,
but upon which work has been performed, shall be paid for upon
basis of estimated extent of completion.
ARTICLE IX: -OTHER PARTIES -
a. It is mutually agreed that this agreement is not trans-
ferable by either signatory to a third party without
the consent of the other principal party.
b. Plans and specifications remain the property of the
OWNERS.
ARTICLE X: TERMINATION -
a. This Agreement shall be terminated at any time by the
• OWNER or the LANDSCAPE ARCHITECT upon giving seven (7)
-days' written notice. Termination by the OWNER shall
comply with Article VIII.
b. This Agreement, unless previously terminated by
written notice, shall be terminated by the final pay-
ment for the finished work.
