RESOLUTION AUTHORIZING EXECUTION OF CONTRACT
FOR LEGAL SERVICES
BE IT RESOLVED by the City Council of the City of
National City, California as follows:
That the Mayor is authorized to execute and the
City Clerk is authorized to attest that certain Contract for
Legal Services, a copy of which is attached hereto and in-
corporated by reference.

1965.

CONTRACT FOR LEGAL SFsRVICF
The parties to this Agreement are the City of
National City, hereinafter referred to as "Citygt, and
Carstens and Todd, Attorneys at Law, hereinafter referred. to
as "Attorneys".
In consideration of the mutual covenants andprom-
ises herein contained, the parties agree as follows:
1. City hereby retains attorneys for the purpose
of furnishing legal services to City, such services to in-
clude the following: Attendance by a member of the firm of
Attorneys at all meetings of the City Council, both general
and special; preparation for and representation of the City
at Public Utilities Commission hearings concerning rates or
tariffs as such preparation and attendance may be directed by
the City Council; representation of the City, and its employees,
in Municipal and Superior Court matters to which the City or
employee thereof is a party defendant, except in such cases
where the City is otherwise represented by counsel for City's
insurance carrier; representation of the City in all court
matters where the City institutes action on behalf of the
People of the State of California; representation of the City
on behalf of the People of the State of California in Justice
Court trials in the Justice Court of the National Judicial Dis-
trict involving ordinance violations; representation of City in
real property sales, including preparation and review sf es-
crow instructions and related documents; advice and counseling
for Department heads as required.
In consideration for the above described ser-
vices, which "Attorneys agree to perform in a cospetent, pro-
fessional manner, City agrees to compensate Attorney

rate of $14,700.00 per year. In the event City desire At-
torneys to perform services not enumerated and described in
paragraphs one or three of this Contract, fees for said ser-
vices shall be negotiated between the City ane Attorneys on
a reasonable fee basis.
3. In addition to the above described services,
Attorneys agree to perform all legal services for and on be
half of the City in connection with improvements constructed
in accordance with the Debt Limitation Act of 1931 and the
Street Improvement Act of 1911. In consideration. r the per-
forming of said services, City agrees to compensate. Attorneys
in accordance with the following schedule:
Minimum fee for all work, in-
cluding preparation of all Res-
oautions, Notices, and other
required documents, for projects
with final contract price of
$25,000.00 or less:
b. For all work on projects in
excess of $25,000.00 contract
price: 27 of first $200
1% of excess ovs r $200
Should any proceedings fail
to be carried through to con-
clusion, then said, Attorneys
shall be paid a reasonable corn
pensation for his services.
Attorneys shall be paid the above described
sation as follows:
Three -fourths (3/4) at the time of
execution of Contract between Con-
tractor and City Council.

b. The balance thereof upon adoption
of Resolution Confirming Assessment.
4. The effective date of this contract shall be
July 1, 1965, and shall continue for one year until June 30
1966.

sums expended by Attorneys in connection with the perform-
ance of the above -described legal services, including but
not limited to traveling, lodging and meal expenses, filing
fees and service fees advanced by Attorneys, and any and all
other expenses incurred by Attorneys in connection with City
business, not to exceed per diem allowances as established
by the City Council from time to time.
