HomeMy WebLinkAboutCC RESO 6129is RESOLUTION NO. / 2- 7 WHEREAS,.the City Council of City of National City, California, has heretofore determined that it is proper to expend the sums set forth in the attached agreement and for the purposes therein stated; NOW, THERE FORE, BE IT RESOLVED by the City Council of City of National City, California, as follows SECTION 1: That that certain agreement between CITY OF NATIONAL • CITY, a municipal corporation, and NATIONAL CITY CF_BER OF COERCE, an Association, a copy of which agreement is attached hereto, be, and the same hereby, approved. SECTION 2: That Frank Sarn, Mayor of City of National City be, and he is hereby, authorized and directed to execute said agreement for and upon behalf of the said City. :AGREEMENT THIS AGETTNENT, made and entered into the day of 1954, by and between the NATIO='AL CITY clui ER OF CO1'MERCF, an Association, herein designated as Advertiser, and CITY OF NNATIONAL CITY, a municipal corporation in the County of San Diego, State of California, hereinafter designated as City. • WITNESSKH: WHEREAS, said Advertiser is the National City Chamber of Commerce, within the. City of National City, and has special knowledge, experience, and facilities for promotion and advertising work to be done anri performed for the City of National City; and WIMEAS, it is the desire of the City to employ said National City Chamber of Com srce as its. agent. for. the purpose of: advertising, exploiting and raking known the resources of the City for the purpose of. inducing immigration to, and increasing the trade and commerce of, said City, or for exhibiting or.adverGising for said purposes, the agricultural, horti- cultural, viticultural, mineral, industrial, commercial, climatic, educa- tional, recreational, artistic, musical, cultural and other resources, all pursuant to the Government Code of the State of California; and t WHEREAS, in order to accomplish said purposes, it will be neces- sary for said Chamber of Commerce, f rom time to time, to expend money for supplies, -telephones, telegrams, employment of personnel and other purposes and items, and WEEMS, it has been found by the City that a Hay Time Band Re- view will furnish music and will promote the general welfare of said City and will make known the resources and enterprises of said for the purposes hereinabove set forth; the Council further finds and does hereby deem that ,/� the expenditure of�4 2000 ='0 - is proper for the purposes hereinabove set forth, NOW' THEREFORE, 1T IS AGREED AS FOLLOWS: 1. That said Advertiser shall, as agent for and on behalf of said City, set up a program and carry on the advertising, exploiting and making known the resources of the City for the purpose of inducing immi- gration to, and increasing the trade -and commerce of, said City, or for exhibiting or advertising, for said purposes, the agricultural, horti- cultural, viticultural, rineral, industrial, commercial, climatic, educa- tional, recreational, artistic, musical, cultural, and other resources or advantages of the City. 2. That the t•enn of this contract shall terminate on the 30th day of June, 1954; that either party, however,.may terminate this contract by the giving, one to the other, of thirty (30) days' written notice of intention to so terminate. 3. That Advertiser shall use its facilities and its special knowledge and experience in carrying out the terms of this agreement and that the City hereby agrees to pay Advertiser for the said expenses, sub- ject to the terms, conditions, and restrictions imposed by this agreement. 2. That it is mutually agreed that no part of any money paid by the City to Advertiser shall ever be used to pay salaries of officers of the Advertiser. 5. That the total obligation of the City, and the compensation for said services to be performed by Advertiser under this agreement shall not exceed the total sum of DOLLARS ($-Gf" ), provided, however, that this agreement may be emended or supplemented in writing and regularly and duly executed by the parties hereto, and it is further expressly provided that said sum shall be used for no purpose other than expenses incident to the 1951i.May Time Band Review. 6. That the Advertiser shall submit to the City itemized bills setting forth expenditures made and work done as hereinabove provided, in the form and "manner as required by law; and said claim br demand shall be subject to the approval of the City Council of City of National City and shall be presented and audited in the manner required by law, and said claim or demand shall be supported by a statement of said Advertiser show- ing the amount of liabilities incurred for the basis of said claim or de- mand. That Advertiser shall be entitled to payment only for the expenses actually paid or incurred by it in carrying out any plan or -proposal and shall not receive any compensation for its own service as such. IN WITNESS xTh OF said City has caused this agreement to be executed by its Mayor and attested by its City Clerk, and Advertiser has caused said agreement to be executed by its President and its Secretary, thereto duly authorized, and its corporate seal affixed, the day and year in this instilment first written.
