BY AND BETWEEN
THE CITY OF NATIONAL CITY
AND
SOLANA CENTER FOR ENVIRONMENTAL INNOVATION
THIS FIRST AMENDMENT TO THE AGREEMENT is entered into by and between the
CITY OF NATIONAL CITY, a municipal corporation ("CITY"), and SOLANA CENTER FOR
ENVIRONMENTAL INNOVATION, a California nonprofit corporation (the "CONSULTANT').
RECITALS
WHEREAS, the City Council adopted Resolution No. 202346 approving an
agreement (the "Agreement") with the CONSULTANT for the term of May 2, 2023 through
April 30, 2024 wherein the CONSULTANT agreed to provide S61383 compliance support
services for a not -to -exceed amount of $89,461, and an initial term of one (1) year, with
the option to extend this term for up to three (3) one-year extensions; and
WHEREAS, based on the CONSULTANT's performance and quality of work, and
to ensure timely compliance with SB 1383 requirements, the CITY desires to have the
CONSULTANT continue providing SB 1383 compliance support services, and the
CONSULTANT is willing to perform such services; and
WHEREAS, the parties desire to amend the Agreement by exercising the first of
the three (3) one-year extensions to extend the term of the Agreement to April 30, 2025,
and to approve unit price updates as set forth in Exhibit A.
AGREEMENT
NOW, THEREFORE, the parties hereto agree that:
1. The May 2, 2023 Agreement, in exercise of the extension provision, is hereby
amended to extend the term of the Agreement by one (1) year to April 30, 2025.
2. The May 2, 2023 Agreement is hereby amended to approve unit price updates
as set forth in Exhibit A.
3. The parties further agree that, with the foregoing exceptions, each and every
other term and provision of the May 2, 2023 Agreement shall remain in full force
and effect.
