HomeMy WebLinkAboutSan Diego State University FoundationMEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF NATIONAL CITY COMMUNITY DEVELOPMENT COMMISSION; AND fA THE SAN DIEGO STATE UNIVERSITY Research FOUNDATION THIS MEMORANDUM OF UNDERSTANDING (MOU) is entered into between the Community Development Commission of National City (CDC); and the San Diego State University Research Foundation and is dated for reference purposes. I. RECITALS A. Community Development Commission (CDC) is a Redevelopment Agency organized and existing under the laws of the State of California; B. The San Diego State University Research (SDSU) Foundation is public institution organized and existing under the laws of the State of California; C. The purpose of this Memorandum of Understanding is to create a business partnership between the CDC of National City and the SDSU Research Foundation in order to provide business management. H. TERMS A. CDC STAFF Staffing and Supervision a. CDC, will select five (5) professional advisors from the community that can be called upon by the students, SDSU staff and CDC staff to provide community perspective. b. CDC will pre-screen nine (9) National City businesses, of which six (6) will be selected to participate in the program. c. If for any reason (1) one or more of the selected businesses is disqualified the CDC Staff will select the next most qualified businesses. d. CDC, will act as the liaisons between SDSU students, staff and businesses. B. SDSU STUDENTS 1. Staffing and Supervision a. SDSU will commit three (3) to four (4) students per business. 1 i b. SDSU will commit an advising committee which consists of one (1) professor (Don Sciglimpaglia) and three (3) graduate businesses students to oversee the undergraduate students assisting the businesses. c. SDSU undergraduate students, graduate students, and professors will provide student staffmg "consulting" for six businesses. Consulting is defined as providing technical assistance in form of: i. Business Plan creation ii. Business expansion iii. Advertising and promotion iv. Web site and use of Internet Computer training v. Market study or marketing research vi. Contract bidding vii. Customer relations viii. Cost analysis and control ix. Export/import x. Inventory control xi. Special government programs xii. Taxes xiii. Accounting -bookkeeping xix. Insurance xv. Time management scheduling xvi. Personnel management training M. FUNDING AND FACILITIES A. CDC ,1 a. CDC will provide compensation to SDSU Research Foundation not to exceed 6 $5,000 for the technical services provided by the graduate students. b. CDC will be responsible for maintaining a technical assistance site for students and businesses at the National City Chamber of Commerce. The Chamber will be available every Friday from February 18a', 2005 to April 1", 2005 from 10:00 a.m. to 1:30 p.m.. K B. SDSU a. SDSU will be responsible for compensating SDSU Staff. b. SDSU will submit a progress report on the services provided in order to reimbursed for the services performed. SAN DIEGO STATE UNIVERSYfY Research FOUNDATION By: PIAAW S Eugene Stein, hector COMMUNITY DEVELOPMENT COMMISSION OF THE CTYY OF NATIONAL CITY J 0 Approved as to form: /e A �, DSU Research Foundation 9Gl 2 SAN DIEGO STATE UNIVERSITY Research Foundation This is to certify that the following resolution was adopted by the Board of Directors of San Diego State University Research Foundation at a meeting held on February 18, 2005: SAN DIEGO STATE UNIVERSITY FOUNDATION RESOLUTION OF THE BOARD OF DIRECTORS REGARDING ADOPTION AND USE OF FICTITIOUS BUSINESS NAME BY CORPORATION WHEREAS, San Diego State University Foundation, a California nonprofit public benefit corporation (the "Corporation") has been formed to promote and assist the educational program of the San Diego State University (the "University") as more fully described in the Articles of Incorporation of the Corporation (the "Articles of Incorporation"); WHEREAS, a significant portion of the Corporation's activities in the promotion of and assistance to the educational program of the University involves applications for and the administration and oversight of research grants and programs; WHEREAS, the Corporation would benefit from a more immediate communication to and understanding by those with whom it deals on research grants and programs of the nature of the Corporation's primary activity; and WHEREAS, the Corporation's officers and staff have determined that the most efficient and least administratively burdensome way for the Corporation to realize the benefit of a more immediate communication and understanding of its primary activity is to adopt and use in all appropriate circumstances the fictitious business name "San Diego State University Research Foundation." NOW, THEREFORE, be it resolved by the Board of Directors of San Diego State University Foundation (the "Board"), as follows: First: That the Board recognizes that a clearer recognition and perception of the Corporation's primary activity by those with whom the Corporation deals on research grants and programs would benefit the Corporation and the University in the pursuit and receipt of research grants and programs and thus make additional funds available for the activities of the Corporation in support of the University, and accordingly approves the adoption and use by the Corporation of the fictitious business name "San Diego State University Research Foundation" in all appropriate circumstances. Second: The Board authorizes the President; Chief Executive Officer; Chief Operating Officer; Chief Financial Officer; Chief, Sponsored Research Services; or any one of them, with the advice of retained counsel, to do any and all things and to execute and deliver any and all documents and pay such costs and expenses which they may deem necessary or advisable, and ratifies the actions of any one of them taken before the date of this resolution, in order to effectuate the purposes of this resolution.
