HomeMy WebLinkAboutChen Ryan Associates, Inc. - Fourth Amendment - CIP Project Management - 2024 FOURTH AMENDMENT TO THE AGREEMENT BY AND BETWEEN THE CITY OF NATIONAL CITY AND CHEN RYAN ASSOCIATES, INC. THIS FOURTH AMENDMENT TO THE AGREEMENT is entered into this 3rd day of December, 2024, by and between the CITY OF NATIONAL CITY, a municipal corporation ("CITY"), and CHEN RYAN ASSOCIATES, INC., dba CR ASSOCIATES, a California corporation (the "CONSULTANT"). RECITALS WHEREAS, the City Council adopted Resolution No. 2019-163 approving an agreement (the "Agreement") with the CONSULTANT for the term of November 19, 2019 through November 18, 2022, wherein the CONSULTANT agreed to provide on-call project support services for CITY's Capital Improvement Program ("CIP") including, but not limited to, project management; civil engineering; traffic engineering; transportation planning; plan reviews; constructability reviews; long range planning for multiple disciplines; grants management; and, community and communications, for a not-to-exceed amount of$2,0000,000, and an initial term of three (3)years, with the option to extend this term for up to two (2) one-year extensions; and WHEREAS, the City Council adopted Resolution No. 2021-122 approving the First Amendment to the Agreement, increasing the $2,000,000 not-to-exceed amount by $1,000,000 for a total not-to- exceed amount of$3,000,000; and WHEREAS, the City Council adopted Resolution No. 2022-172 approving the Second Amendment to the Agreement, increasing the $3,000,000 not-to-exceed amount by $1,000,000, including hourly rates, for a total not-to-exceed amount of$4,000,000, and exercising the first of two (2) one-year extensions extending the Agreement by one (1)year to November 18, 2023; and WHEREAS, the City Council adopted Resolution No. 2023-145 approving the Third Amendment to the Agreement, increasing the $4,000,000 not-to-exceed amount by $1,000,000, including hourly rates, for a total not-to-exceed amount of $5,000,000, and exercising the second of two (2) one-year extensions extending the Agreement by one (1)year to November 18, 2023; and WHEREAS, the CITY intends to advertise a new Request for Qualifications ("RFQ") to be solicited in 2025 but, in order to allow sufficient time to solicit and evaluate the RFQ, and to ensure continuation of services for the CITY's CIP in the interim, the CITY desires to further extend the Agreement by one (1) year; and WHEREAS, based on the CONSULTANT's performance and quality of work, and to ensure timely completion of CIPs,the CITY desires to have the CONSULTANT continue providing on-call project support services for the CITY's CIP, and the CONSULTANT is willing to perform such services; and WHEREAS, the parties desire to amend the Agreement to extend the term of the Agreement to November 18, 2025, and to increase the not-to exceed amount by $1,000,000, for a total not-to-exceed amount of$6,000,000. AGREEMENT NOW, THEREFORE, the parties hereto agree that: 1. The November 19, 2019 Agreement, as previously amended by the First, Second, and Third Amendments, is hereby amended to further extend the term of the Agreement by one (1) year to November 18, 2025. 2. The November 19, 2019 Agreement, as previously amended by the First, Second, and Third Amendments, is hereby amended to further increase the not-to-exceed amount by$1,000,000,for a total not-to-exceed amount of$6,000,000. 3. The parties further agree that, with the foregoing exceptions, each and every other term and provision of the November 19, 2019 Agreement, as amended by the First, Second, and Third Amendments, shall remain in full force and effect. IN WITNESS WHEREOF,the parties hereto have executed this Fourth Amendment to the Agreement on the date and year first above written.
