THIRD AMENDMENT TO THE AGREEMENT BY
AND BETWEEN
THE CITY OF NATIONAL CITY AND
KTU&A
THIS THIRD AMENDMENT TO THE AGREEMENT is entered into this 3rd day of December,
2024, by and between the CITY OF NATIONAL CITY, a municipal corporation ("CITY"), and KTU&A, a
California corporation (the "CONSULTANT").
RECITALS
WHEREAS, the City Council adopted Resolution No. 2019-176 approving an agreement (the
"Agreement") with the CONSULTANT for the term of December 3, 2019 through December 2, 2022,
wherein the CONSULTANT agreed to provide on-call project support services for CITY's Capital
Improvement Program ("CIP") including, but not limited to, project management; landscape architecture
and urban design; transportation planning; geographic information systems; long range planning for
multiple disciplines; grants management; community outreach and communications, for a not-to-exceed
amount of$2,0000,000, and an initial term of three (3)years, with the option to extend this term for up to
two (2) one-year extensions; and
WHEREAS, the City Council adopted Resolution No. 2022-172 approving the First Amendment
to the Agreement, increasing the $2,000,000 not-to-exceed amount by $1,000,000 for a total not-to-
exceed amount of $3,000,000, and exercising the first of two (2) extensions extending the Agreement
by one (1)year to December 2, 2023; and
WHEREAS, the City Council adopted Resolution No. 2023-163 approving the Second
Amendment to the Agreement, increasing the $3,000,000 not-to-exceed amount by $1,000,000 for a
total not-to-exceed amount of $4,000,000, and exercising the second of two (2) extensions extending
the Agreement by one (1) year to December 2, 2024; and
WHEREAS, the CITY intends to advertise a new Request for Qualifications ("RFQ") to be
solicited in 2025 but, in order to allow sufficient time to solicit and evaluate the RFQ, and to ensure
continuation of services for the CITY's CIP in the interim, the CITY desires to further extend the
Agreement by one (1) year; and
WHEREAS, based on the CONSULTANT's performance and quality of work, and to ensure
timely completion of CIPs,the CITY desires to have the CONSULTANT continue providing on-call project
support services for the CITY's CIP, and the CONSULTANT is willing to perform such services; and
WHEREAS, the parties desire to amend the Agreement to extend the term of the Agreement to
December 2, 2025, and to increase the not-to exceed amount by $1,000,000, for a total not-to-exceed
amount of$5,000,000.
AGREEMENT
NOW, THEREFORE, the parties hereto agree that:
1. The December 3, 2019 Agreement, as previously amended by the First and Second Amendments, is
hereby amended to further extend the term of the Agreement by one (1) year to December 2, 2025.
2. The December 3, 2019 Agreement, as previously amended by the First and Second Amendments, is
hereby amended to further increase the not-to-exceed amount by $1,000,000, for a total not-to-exceed
amount of$5,000,000.

3. The parties further agree that,with the foregoing exceptions, each and every other term and provision
of the December 3, 2019 Agreement, as amended by the First and Second Amendments, shall remain
in full force and effect.
IN WITNESS WHEREOF,the parties hereto have executed this Third Amendment to the
Agreement on the date and year first above written.
