HomeMy WebLinkAboutAegis Medical Corporation - Professional Medical Oversight Services for Fire Department - 2026 Docusign Envelope ID 3C5B96CB-DC63-8912-80A0-833A690F8E9A AGREEMENT BY AND BETWEEN THE CITY OF NATIONAL CITY AND AEGIS MEDICAL CORPORATION THIS AGREEMENT is entered into effective August 4, 2026 ("EFFECTIVE DATE"), by and between the CITY OF NATIONAL CITY, a California municipal corporation ("CITY"), and AEGIS MEDICAL CORPORATION("CONTRACTOR"),which shall assign Dr.Brad Schwartz, M.D.to serve as the National City Fire Department Medical Director("NATIONAL CITY MD"). SCOPE OF SERVICES The NATIONAL CITY MD shall provide professional medical direction and oversight services for the City,including but not limited to the services described in Attachment A and the following: A) Authorization for the use of dangerous drugs and medical devices; B) Oversight and accountability for controlled substances and associated medical equipment; C) Coordination and compliance with all applicable federal, state, and local regulatory requirements, including those of the United States Food and Drug Administration(FCA), Drug Enforcement Administration (DEA), California Emergency Medical Services Authority; D) Coordination with the Fire Department regarding training, quality improvement (QA), protocol implementation,and other medical direction needs related to emergency medical services. 1. LICENSE/QUALIFICATIONS The NATIONAL CITY MD shall maintain,throughout the term of the Agreement,an unrestricted license to practice medicine in the State of California and all certification, registrations, and qualifications necessary to perform the services described herein. The NATIONAL CITY MD shall provide evidence of such licensure,certifications,registrations,and qualifications to the City upon request. 2. STANDARDS OF CARE/COMPLIANCE The NATIONAL CITY MD shall not implement or authorize any medical standard, protocol, or procedure that conflicts with applicable federal,state,or local laws,regulations,or County of San Diego EMS policies. Nothing in this Agreement shall infringe upon or interfere with the rights or authorities of the City as provided under applicable California Health and Safety Code provisions, including Sections 1797.201 and 1797.224,as applicable. COMPENSATION The CITY shall compensate CONTRACTOR in the amount of$2,500.00 per month for an annual not-to-exceed amount of$30,000 for services rendered under this Agreement. CONTRACTOR may request compensation adjustment by providing written notice to the CITY no less than ninety (90) days prior to the beginning of any subsequent fiscal year. Any compensation adjustment shall require written approval by the CITY and formal amendment of this agreement. TERM This Agreement shall remain in effect from August 4,2026,through June 30,2027,unless earlier terminated as provided herein. This Agreement may be extended by mutual agreement upon the same terms and conditions for an additional one(1) year term. Any extension of this Agreement must be approved in writing by the City Council. The CITY may terminate this Agreement for convenience,with or without cause,upon thirty(30) days' written notice to CONTRACTOR. The CITY may terminate this Agreement immediately upon written notice in the event of a material breach, loss or restriction of required licensure,failure to maintain required insurance, or inability to legally perform the required services. 5. INSURANCE The NATIONAL CITY MD shall maintain professional liability/medical malpractice insurance coverage in amounts reasonably acceptable to the CITY and as otherwise required by law throughout the term of this Agreement. INDEMNIFICATION Each party shall indemnify, defend, and hold harmless the other party, including its officers, employees, agents and representatives, from and against any claims, damages, liabilities, losses, costs, or expenses arising out of the indemnifying party's negligent acts, errors, omissions, or willful misconduct in connection with performance under this Agreement. The parties agree that should any part, term, portion or provision of this Agreement, or the application thereof to any person or circumstance, be in conflict with any state or federal law, or otherwise be rendered unenforceable or ineffectual, that part, term, portion or provision shall be deemed severed from this Agreement, and the validity of the remaining parts, terms, portions or provisions, or the application thereof to other persons or circumstances, shall not be affected thereby,provided such remaining portions of provisions can be construed in substance to continue to constitute the Agreement that the parties intended to enter into in the first instance. 7. ARBITRATION If a dispute between the parties arises out of or relates to this Agreement,and if said dispute cannot be settled by negotiation,the parties,agree first to try in good faith to settle the dispute by mediation under the Commercial Mediation Rules of the American Arbitration Association,before resorting to arbitration,litigation,or some other dispute resolution procedure. 8. INDEPENDENT CONTRACTOR The CONTRACTOR and NATIONAL CITY MD are independent contractors and are not employees, officers, agents, partners, or joint venturers of the CITY. Nothing contained in this Agreement shall be construed to create an employer-employee relationship between the CITY and CONTRACTOR or NATIONAL CITY MD. CONTRACTOR shall be solely responsible for payment of all compensation, taxes, insurance, and benefits relating to personnel performing services under this Agreement. 9. HIPAA/CONFIDENTIALITY CONTRACTOR and NATIONAL CITY MD acknowledge that during the performance of services under this Agreement, they may receive or have access to confidential, protected, or sensitive information, including protected health information (PHI). CONTRACTOR and NATIONAL CITY MD agree to comply with all applicable federal and state confidentiality laws and regulations, including the Health Insurance Portability and Accountability Act of 1996(HIPAA),to the extent applicable. CONTRACTOR and NATIONAL CITY MD shall not disclose confidential information except as required for performance of services under this Agreement or as otherwise required by law. 10. RECORDS RETENTION CONTRACTOR shall maintain complete and accurate records relating to services performed under this Agreement for a minimum period of three(3)years following termination or expiration of this Agreement, or longer if required by law. NON-DISCRIMINATION CONTRACTOR and NATIONAL CITY MD shall not discriminate against any employee, applicant, patient, agency representative, or other individual on the basis of race, color,religion, sex,gender identity,sexual orientation,national origin,ancestry,age disability,medical condition, marital status,military or veteran status,or any other classification protected by applicable law. 12. ENTIRE AGREEMENT This Agreement, including any attachments or exhibits incorporated herein, constitutes the entire agreement between the parties and supersedes all prior negotiations,representations,or agreements, whether written or oral,relating to the subject matter herein. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.
