THE CITY OF NATIONAL CITY
AND
MDG ASSOCIATES LLC
THIS FIRST AMENDMENT TO THE AGREEMENT is entered into this day of Jb1 ,
2026, by and between the CITY OF NATIONAL CITY, a municipal corporation ("CITY"), and MI
ASSOCIATES LLC, a limited liability company organized and existing under the laws of the state of
California("CONSULTANT").
RECITALS
WHEREAS, the CITY and the CONSULTANT entered into an Agreement on May 15, 2024,
("Agreement"), wherein the CONSULTANT agreed to assist in the development of the FY25-29
Consolidated Plan and related documents, for a not-to-exceed amount of $85,000, and an initial term
through June 30,2026,with the mutual option to exercise up to three (3)one-year extensions; and
WHEREAS,the parties desire to amend the Agreement by exercising the First Amendment of the
Agreement to extend the term to June 30, 2027; and
WHEREAS, the parties also desire to amend the Agreement to continue working on updating
billing rates described in the attached Exhibit A, and use the remaining balance of the Agreement in the
not-to-exceed amount of$51,076.75.
AGREEMENT
NOW,THEREFORE,the parties hereto agree that:
1. The May 15, 2024,Agreement is hereby amended to extend the term of the Agreement to June
30, 2027.
2. The May 15, 2024, Agreement is hereby amended to update the billing rates described in
Exhibit A to cover the original scope of work and use the remaining balance of the Agreement in
the not-to-exceed amount of$51,076.75.
3. The parties further agree that, with the foregoing exceptions, each and every other term and
provision of the May 15, 2024, Agreement shall remain in full force and effect.

IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the
Agreement on the date and year first above written.
