A Summary Report was completed in accordance with this code section pertaining to the fair reuse value of the property. March 12,19-k110863 ATTACHMENT NO. 1 SUMMARY REPORT FOR THE DISPOSITION AND DEVELOPMENT AGREEMENT BETWEEN THE COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF NATIONAL CITY AND OLSON URBAN HOUSING, LLC MARCH 2, 2004 INTRODUCTION This document is the Summary Report ("Report") for the Disposition and Development Agreement ("Agreement") by and between the Community Development Commission of the City of National City ("CDC") and Olson Urban Housing, LLC ("Developer"). The Agreement facilitates: (1) the sale of a CDC owned property located at 835 Bay Marina Drive, and (2) the development of forty (40) live/work townhome loft residential units, and associated on- and off -site improvements in two phases. This Report has been prepared pursuant to Section 33433 of the California Health and Safety Code (California Community Redevelopment Law or "Law") and presents the following: • A summary of the proposed Development. • The cost of the Agreement to the CDC. • The estimated value of the interest to be conveyed, determined at the highest and best uses permitted by the CDC's Redevelopment Plan. • The estimated value of the interest to be conveyed determined at the use with the conditions, covenants, and development costs required by the Agreement. • An explanation of why the sale of property pursuant to the Agreement will assist in the elimination of blight. • Conformance with the CDC's Five -Year Implementation Plan. THE DEVELOPMENT In July of 1995 the CDC adopted the National City Redevelopment Project. The purpose' was to further the community development objectives of the California Community Redevelopment Law. With this in mind, the CDC desires to redevelop a parcel comprised of approximately 1.26 acres located in the National City Redevelopment Project Area (the "Project Area") on Bay Marina Avenue between Cleveland Avenue and Historic Railroad (the "Site"). The Site is improved with existing land uses and is currently owned by the CDC. ATTACHMENT NO. 2 C:\DOCUME-1 \ROCARR-1\LOCALS-1\Temp \NC Summery Report 031904.doc 1 Through the Agreement, the CDC agrees to convey the Site to Developer for $826,128. Upon acquiring the Site from the CDC, the Developer agrees to construct forty (40) live/work townhome loft residential units, and associated on- and off -site improvements (collectively, the "Improvements") in two phases. The units will be generally 3 stories in height. They will feature two types of floor plans both including live/work space, a great room, flex space, as well as, a mix of attached l- and 2-car garages. Each unit will be of high quality construction typical of townhome residential projects, with concrete foundations, drywall interiors, wood frame with stucco exterior walls and wood truss frame roof with a combination of built-up roofing and concrete tiles. All units will be equipped with standard amenities of dual -paned windows, carpeting throughout the living space, one bathroom and a fully equipped kitchen with vinyl flooring and composite countertops. Additionally each unit will be furnished with a networking device providing access to the Internet. Additionally, each property will be incorporated into the new streetscape being developed to provide a common neighborhood identity. Revenue to the CDC When completed and fully assessed (anticipated to be in 2005) the Development's projected new assessed value will be $10,108,826; this is the assessed value the San Diego County Auditor Controller uses to calculate the property tax increment revenue that is paid to the CDC. Per the tax increment revenue sharing formulas specified by the Law, the CDC receives 70 percent of all tax increment revenue generated within the National City Redevelopment Project Area. Of this amount, 20 percent must be deposited into the CDC's low and moderate -income housing fund. This new assessed value will generate net new tax increment revenue to the CDC of $294,598 over five years, and $619,857 over 10 years. If discounted to show the current value of this future revenue (factoring in the impact of inflation on the future value of money) the present value of the net new tax increment revenue is $223,000 and $354,000 for the five and ten year periods, respectively. The present value analysis assumes a 5.75 percent discount rate. In addition to the annual property tax increment revenue that will be paid to the CDC, the CDC will also receive from the Developer a fair market value land payment in the amount of $826,128 for conveyance of the Site to the Developer. , THE COST OF THE AGREEMENT TO THE CDC As previously mentioned, the CDC currently owns the Project Site. In October of 1997 the CDC expended $1,788,000 in total acquisition costs for the Site. The costs were distributed as follows: ■ Acquisition of real property in the amount of $1,565,000. C:\DOCUME-1\ROCARR-1\LOCALS-1\Temp\NC Summary Report 031904.doc 2 o Land - $$625,000 o Improvements - $940,000 • Relocation costs in the amount $123,000. • Environmental mitigation costs in the amount of $100,000. The Developer will purchase the Property for $826,128, which will offset these costs. The net cost of the Agreement to the CDC will be $961,872. This net cost will be further reduced over time as a result of the net new tax increment revenue discussed above. ESTIMATED VALUE OF INTEREST TO BE CONVEYED The CDC commissioned an appraisal report, prepared by Hendrickson Appraisal Company in 1997 and by Keagy Real Estate in 2003, to determine the Property's land and improvement values. The appraisal identified an adjusted land value range for like residential property of $11.39 per square foot of land area. Recent market sales data for like properties was reviewed to determine if the land values presented in the appraisal report are still current. This review concluded that the stated per square foot value ranges from $11.39 to approximately $15.05 per square foot. The Property's land area is approximately 54,885 square feet. Multiplying the land area by the adjusted land value generates a value of the interest to be conveyed ranging from $625,000 to $826,128.The CDC is selling the cleared parcel to the Developer for a value of $826,128. ESTIMATED VALUE OF THE INTEREST TO BE CONVEYED, DETERMINED AT THE USE AND WITH THE CONDITIONS, COVENANTS, AND DEVELOPMENT COSTS REQUIRED BY THE AGREEMENT The estimated value of the interest being conveyed is $826,128. This reflects the fair market value of vacant residential property that must be developed with the conditions, covenants, and development costs required by the CDC and the City of National City. EXPLANATION OF WHY THE SALE OF THE PROPERTY PURSUANT TO THE AGREEMENT WILL ASSIST IN THE ELIMINATION OF BLIGHT The actions contemplated by the Agreement will redevelop a property that is currently occupied with dilapidated structures and is impacted by deferred maintenance. Furthermore, the CDC's disposition of the Site to the Developer, and the Developer's acquisition of the Site and construction of the Improvements pursuant to the terms of this Agreement, are in the vital and best interest of the City and the health, safety, morals and welfare of its residents, and in accord with the public purposes and provisions of applicable state and local laws and requirements under which the redevelopment of the Project has been undertaken. C:\DOCUME-1\ROCARR-1\LOCALS-1\Temp\NC Summary Report 031904.doc 3 CONFORMANCE WITH THE CDC'S FIVE YEAR IMPLEMENTATION PLAN The Five Year Implementation Plan specifies that the CDC will: 1) eliminate and prevent conditions of blight such as underutilized properties and deteriorating buildings, incompatible and uneconomic land uses; 2) recycle and/or develop underutilized parcels to accommodate higher and better economic uses while enhancing the City's financial resources and 3) increase, improve and preserve the community's supply of housing including housing for very low, low and moderate income households within the Project Area. The Agreement implements these goals and actions. A copy of the Agreement is attached to this Report and is available for review at CDC offices, located at 140 East 12th Street, Suite B, National City, California. The Agreement will be the subject of a joint public hearing of the CDC and City Council on March 23, 2004, at 4:00 p.m. in the City Council Chambers of the City of National City. The Summary Report concludes that the Fair Reuse Value of the property for sale to Olson Urban Housing, LLC is fair market. State Law requires that the Commission make one of the following findings: a) The consideration is not less than the fair market value at its highest and best use in accordance with the Plan; or, b) The consideration is not less than the fair reuse value at the use and with the covenants, condi- tions and development costs authorized by the sale or lease. The Resolution makes the finding related in a) above. A Disposition & Development Agreement (DDA) also subject to Public Hearing will be required prior to the actual sale of the property. This item will be considered on the CDC Agenda following ap- proval of this resolution. STAFF RECOMMENDATION Approve above -subject resolution BOARD/COMMISSION RECOMMENDATION N/A ATTACHMENTS (Listed Below) Resolution 2004-45 Resolution No.2004-45 • RESOLUTION NO. 2004-45 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NATIONAL CITY APPROVING THE SALE OF REAL PROPERTY OWNED BY THE COMMUNITY DEVELOPMENT COMMISSION OF THE CITY OF NATIONAL CITY (CDC) LOCATED AT 835 BAY MARINA DRIVE TO OLSON URBAN HOUSING, LLC AND MAKING CERTAIN FINDINGS IN CONNECTION HEREWITH WHEREAS, the Community Development Commission of the City of National City (the "CDC") is engaged in activities necessary to execute and implement the Redevelopment Plan (the "Redevelopment Plan") for the National City Redevelopment Project (NCRP); and, WHEREAS, in furtherance of the objectives of the California Community Redevelopment Law (California Health and Safety Code Section 33000 et seq.), the CDC desires to redevelop a certain approximately 1.26 acre portion of the NCRP area located at 835 Bay Marina Drive (the "Site") which is owned by the CDC; and, WHEREAS, the Implementation Plan adopted by the CDC with respect to the NCRP area calls for the CDC's objective to "increase private investment wherever possible, to promote jobs and improve the property and sales tax base of the City"; and, WHEREAS, the CDC and Olson Urban Housing, LLC (the "Developer"), propose to enter into a Disposition and Development Agreement (the "Agreement") pursuant to which the CDC would convey the Site to the Developer, and the Developer would construct improvements on the Site consisting of forty (40) live/work townhome loft residential units, and associated on- and off -site improvements (the "Project"); and, WHEREAS, pursuant to Section 33433 of the Community Redevelopment Law, the CDC is authorized, with the majority approval of the City Council after public hearing, to convey the Site for redevelopment purposes pursuant to the Redevelopment Plan upon a determination by the City Council that the sale of the Site will assist in the elimination of blight and that the consideration for such sale is not less than fair reuse value in accordance with the covenants and conditions governing the sale and development costs thereof; and, WHEREAS, pursuant to Section 33445 of the Community Redevelopment Law, the CDC has determined that the Project is of benefit to the NCRP area, the area in which it is proposed to be located; and, WHEREAS, a public hearing notice was duly noticed in accordance with the requirements of Health and Safety Code Section 33433; and, 1 of 3 WHEREAS, the proposed Agreement, and summary report meeting the requirements of Health and Safety Code Section 33433, was available for public inspection consistent with the requirements of Health and Safety Code Section 33433; and WHEREAS, on March 23, 2004, the City Council and CDC held a joint public hearing on the proposed Agreement and evaluated all of the information, testimony, and evidence presented during the public hearing; and, WHEREAS, the CDC has reviewed the summary report required pursuant to Health and Safety Code Sections 33433 and evaluated other information provided to it pertaining to the findings required pursuant to Sections 33433 and 33445; and, WHEREAS, the sale of the Site pursuant to the proposed Agreement will improve the quality of life of the residents of the City of National City and its visitors through the elimination of blight and the development of quality projects in the NCRP area by providing for the reuse and redevelopment of a portion of the NCRP area which formerly contained substandard industrial structures; and, WHEREAS, the value of the consideration for the Site, pursuant to proposed Agreement will not be less than the fair reuse value of the Site as set forth in the summary report completed per Section 33433; and, WHEREAS, the CDC has determined that the execution of the proposed Agreement by and between the CDC and the Developer is not subject to the requirements of the California Environmental Quality Act (the "CEQA") and that the proposed Agreement does not constitute a "Project" as defined by CEQA due to the fact that the proposed Agreement does not grant any approvals or authorizations for any development or improvements on the Site without the necessary entitlements and/or; and, WHEREAS, all actions required by all applicable law with respect to the proposed Agreement has been taken in an appropriate and timely manner; and, WHEREAS, the CDC has duly considered all terms and conditions of the proposed Agreement and believes that the disposition of the Site pursuant thereto is in the best interests of the City of National City and the health, safety, and welfare of its residents, and in accord with the public purposes and provisions of applicable state and local law requirements. NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of National City as follows: Section 1. The City Council hereby finds and determines, based upon substantial evidence provided in the record before it, that the consideration for the disposition of the Site, pursuant to the terms and conditions of the proposed Agreement, 2 of 3 is not Tess than the fair reuse value of the Site in accordance with the covenants and conditions governing the sale, and the development costs required under the proposed Agreement. Section 2. The City Council hereby finds and determines, based upon substantial evidence provided in the record before it, that the Project is of benefit to the NCRP area, the area in which it is proposed to be located. Section 3. The City Council hereby finds and determines that the disposition of the Site pursuant to the proposed Agreement will eliminate blight within the Project Area by providing for the reuse and redevelopment of a portion of the Project Area which was declared blighted for the reasons described above. Section 4. The CDC Executive Director is authorized to file a Notice of Exemption with the County Clerk of the County of San Diego following adoption by the CDC of the resolution approving the proposed Agreement. Section 5. The CDC Chairman is authorized to execute the proposed Agreement following adoption by the CDC of the resolution approving the proposed Agreement. Section 6.
