TELACI; Residential Management (TRM) and National City's Community Development Commission
(CDC), have agreed to a ""Shared Cost' for 1 I I..ACU Southbay Manor's Service Coordinator Program.
The following is an Agreement made between Paradise Valley Hospital to contract a Service Coordinator
to the above "Project". For the purpose of an Agreement between TRM and CDC. changes have been made
to include CDC where appropriate. •I his agreement is effective upon date of execution by parties hereto:
DESCRIPTION AND SCOPE
This contract is entered into by and between Paradise Valley Hospital, with its principal office location at
2400 East Fourth Street, National City, CA 91950, and TELACU Residential Management (TRM), as an
authorized agent of the project, TELACU Southbay Manor, with TRM's principal office location at 5400
E. Olympic Boulevard, Suite 300, Los Angeles, CA 90022. The parties hereby agree as follows:
1. Paradise Valley Hospital will provide a Social Service Coordinator 5 hours each week who will
provide the residents of TELACU Southbay Manor, located at 650 E. 14th Street, National City,
CA 91950, with the following:
2. Establish and maintain a directory of service providers, local, state, and federal, which will be
used to link residents with services and programs appropriate to their needs. Types of services
may include case management, personal assistance/homemaker provider, transportation,
counseling, Meals -on -Wheels, and legal advocacy.
3. Provide educational opportunities on -site by having speakers from various agencies do in -services
on topics which will benefit the residents, such as speakers on health and nutrition, speakers who
can explain Medicare vs. MediCal, pharmacists to speak on interactions between prescription
drugs and over-the-counter medications, outreach speakers from the fire and police departments
regarding safety issues, and speakers regarding programs available to the residents. such as, the
Telephone Loan Program. Coordinator will work to bring classes to the "Project", such as English
as A Second Language (ESL), exercise classes suitable for seniors, and various "life skills"
courses such as a course in budgeting their income, keeping their homes clean, healthy cooking
and nutrition courses. NOTE: Coordinator will not actively help resident with budgeting, as in,
holding monies for resident, writing checks, or obtaining money orders.
4. Encourage health agencies to offer free screenings to the residents, for example, bone density,
blood pressure, blood sugar, visual, and audio testing. At no time will the coordinator allow the
health agency to take payment for any service rendered in the "Projects" common areas, such as
the community room.
5. Work as a residents advocate when they are not able to obtain services needed, and/or have been
turned down for programs and are in the appeals process.
6. A place for the residents to speak confidentially on personal problems they are experiencing.
Coordinator will keep a locked file cabinet with resident files obtaining all appropriate
documentation and case management paperwork in accordance with HUD regulations and internal
management procedures. The Coordinator, the PVH Supervisor, and the TRM corporate office
shall have a key to the file cabinet.

7. Work with the Resident Manager and Property Supervisor regarding residents that have been
written up for Lease and House Rules violations. Coordinator can help resolve whatever issues
may be keeping the resident from abiding by the Lease, examples are, physical inspections and a
resident unable to keep their apartment clean; in which case the coordinator will make a referral to
the appropriate agency which can offer In -Home Supportive Care, such as housekeeping. If a
resident is unable to abide by the Lease due to mental illness or dementia, the coordinator can
make the appropriate mental health, and doctor referrals to get the resident diagnosed, counseling,
and medication if appropriate. If a resident is an alcoholic or addict, the coordinator can refer the
resident to a rehabilitative program, which includes medical, psychiatric, and therapeutic
intervention, once that is done, case management between the program and the coordinator can he
maintained. Whatever the situation, it is a "win -win" situation for both management and the
resident if the problem can be resolved, and the resident remain living at the "Project". The
coordinator will not bring in outside tenant advocacy group's, but instead, will work directly with
the TRM staff and resident.
8. Assist with education to on -site staff on issues related to the aging process, and to what service
coordination is, which in turn will help them understand their residents and assist their residents in
a more comprehensive manner.
9. Coordinator will keep a (1) Time Log, (2) Weekly Frailty Report, and a (3) Monthly Report of
resident contacts, referrals made, and services rendered. These will be kept uniform with TRM's
Social Service Department's reports, and items 1 and 2 will be submitted weekly to the TRM
Social Services Department; item 3, the Monthly Report, will be submitted every six months,
covering January through June, and July through December. A disc with the Monthly Report, and
the Service Log that goes with it, will be made available to PV1i by TRM.
10. Coordinator will work with residents, staff, family members, and outside agencies to ensure a safe
quality of life for each resident needing help, so the resident can maintain their own apartment at
TELACU Southbay Manor.
FEES
"Project" will reimburse Paradise Valley Hospital at the rate of $625.00 per month, $7500.00 per year, for
the cost of subject services. Paradise Valley Hospital shall request payment for services by timely
submission of a monthly invoice filed with TRM by the 15th day of each month after service. TRM shall
approve for payment by "Project" to Paradise Valley Hospital within fifteen days of receiving said report.
National C'ity's Community Development Commission will have a "Shared Cost", out of the annual fee of
S7500.00 that Paradise Valley Hospital requires. the Community Development Commission will pay
S5000.00. and S2500.00 will be paid by the owner. I11.ACI.i I lousing National City Mc.. dba, Southbay
Manor. TRM will annually submit an invoice for payment of $5000.00 to CDC at the end of each lRM
fiscal year, in December, and Ci)C will make payment of S5000.00 to TRM in January of each year.
REPORTING:

available to ['Vi i by TRM. Furthermore, Paradise Valley Hospital will prepare a file for each resident
obtaining all appropriate documentation and case management paperwork in accordance with HUD
regulations and internal management procedures. The Coordinator, the PVH Supervisor, and the TRM
corporate office shall have a key to the locked file cabinet where these resident files shall be kept on -site.
TRM will submit an annual report to the CDC regarding the annual number of residents served, and a
specific breakdown of services and referrals made and how man residents were served in each category.
SERVICE COORDINATOR QUALIFICATIONS
Paradise Valley Hospital's Service Coordinator will possess evidence of an appropriate combination of
education and/or experience in a social service setting, including a combination of culturally sensitive and
bilingual communication skills. 1'RM requires the Service Coordinator to complete 36 additional hours of
educational coursework pertaining to fields covered by the position of Service Coordinator. TRM has the
right to make final approval on the Service Coordinator who will be assigned to the "Project" by PVH.
SPECIAL CONDITIONS
I. TRM agrees to supply a private office, desk, chair, telephone with dedicated line, locking file
cabinet, and all supplies needed for files and the competent running of the Service Coordinator's
office. All of the above will be made available at the subject location.
2. Resident files shall be made available for audit purposes to TRM, TELACU, HUD, or the
Controller General of the United States, or to any authorized representative thereof, and shall be
retained for three years after inauguration of said contract unless permission to destroy them is
granted by TELACU Residential Management and Paradise Valley Hospital.
3. Throughout the term of the Agreement, each party shall maintain, at each party's sole cost and
expense, policies of insurance or self-insurance providing coverage for general liability in the
minimum amount of SI million per occurrence, $3 million annual aggregate, as may be necessary
to protect each party and its employees, agents or representatives in the discharge of its or their
responsibilities and obligations under this Agreement. PVH shall also provide TRM evidence of
professional liability insurance, workers compensation insurance, and auto insurance.
4. Paradise Valley Hospital is precluded from referring residents to designated health services and
billing Medicare and%or MediCal for any such referred service, if Paradise Valley Hospital has a
financial relationship with the designated health service provider(s). Further, in accordance with
the Anti -Kickback Statute, Paradise Valley Hospital is prohibited from soliciting or receiving any
remuneration or service for which payment may be made under Medicare and/or MediCal. If
Paradise Valley Hospital refers to its hospital, these services will be consistent with the rules and
regulations of Medicare and MediCal, and in particular, will not violate sanctions on fraud and
abuse, and the Anti -Kickback Statute.
5. Each party, TRM, "Project", and its employees and agents, PVII and its employees and agents,
shall be responsible for their own acts and omissions, and shall not be responsible for the acts
and/or omissions of the other party in carrying out this Agreement.
6. Each party, TRM, "Project", and PVH, agrees to indemnify and hold harmless the other party
against all actions, claims, or demands whatsoever, including costs, expenses, and attorney fees to
which the other party may be put arising out of each party's negligent act and/or omissions during
the performance of the Agreement.
TERMS OF AGREEMENT
The term of this Agreement originated on March 10, 1999 through December 31, 1999. The
Agreement shall he an automatic continual renewal, unless a thirty days written notification to other
party is made to either make changes in the terms of the Agreement, or to terminate the Agreement.
