2008 CON Citygate Associates - Fire Response Time Study
AGREEMENT BY AND BETWEEN THE CITY OF NATIONAL CITY AND CITYGATE ASSOCIATES, LLC THIS AGREEMENT is entered into this 15th day of July, 2008, by and between the CITY OF NATIONAL CITY, a municipal corporation (the "CITY"), and Citygate Associates. LLC, a fire and emergency services consultant (the "CONSULTANT"). RECITALS WHEREAS, the CITY desires to employ a CONSULTANT to provide conduct a Fire Response Time Study. WHEREAS, the CITY has determined that the CONSULTANT is qualified by experience and ability to perform the services desired by the CITY, and the CONSULTANT is willing to perform such services. NOW, THEREFORE, THE PARTIES HERETO DO MUTUALLY AGREE AS FOLLOWS: 1. ENGAGEMENT OF CONSULTANT. The CITY hereby agrees to engage the CONSULTANT and the CONSULTANT hereby agrees to perform the services hereinafter set forth in accordance with all terms and conditions contained herein. The CONSULTANT represents that all services required hereunder will be performed directly by the CONSULTANT or under direct supervision of the CONSULTANT. 2. SCOPE OF SERVICES. The CONSULTANT will perform services as set forth in the City's Request for Proposal #GS0708-3 (Exhibit "A"). The CONSULTANT shall be responsible for all research and reviews related to the work and shall not rely on personnel of the CITY for such services, except as authorized in advance by the CITY. The CONSULTANT shall appear at meetings cited in Exhibit "A" to keep staff and City Council advised of the progress on the project. The CITY may unilaterally, or upon request from the CONSULTANT, from time to time reduce or increase the Scope of Services to be performed by the CONSULTANT under this Agreement. Upon doing so, the CITY and the CONSULTANT agree to meet in good faith and confer for the purpose of negotiating a corresponding reduction or increase in the compensation associated with said change in services, not to exceed a factor of 10% from the base amount. 3. PROJECT COORDINATION AND SUPERVISION. Walter Amadee, Fire Department Management Analyst hereby is designated as the Project Coordinator for the CITY and will monitor the progress and execution of this Agreement. The CONSULTANT shall assign a single Project Director to provide supervision and have overall responsibility for the progress and execution of this Agreement for the CONSULTANT. Chief Stewart Gary thereby is designated as the Project Director for the CONSULTANT. 4. COMPENSATION AND PAYMENT. The compensation for the CONSULTANT shall be based on progress payments as outlined in Exhibit "A". Billings shall be based on labor classifications, respective rates, hours worked and also materials, if any. The total cost for all work described in Exhibit "A" shall not exceed the schedule given in Exhibit "A" (the base amount) without prior written authorization from the Purchasing Agent. Monthly invoices will be processed for payment and remitted within thirty (30) days from receipt of invoice, provided that work is accomplished consistent with Exhibit "A" as determined by the CITY. The CONSULTANT shall maintain all books, documents, papers, employee time sheets, accounting records, and other evidence pertaining to costs incurred and shall make such materials available at its office at all reasonable times during the term of this Agreement and for three (3) years from the date of final payment under this Agreement, for inspection by the CITY and for furnishing of copies to the CITY, if requested. 5. ACCEPTABILITY OF WORK. The City shall decide any and all questions which may arise as to the quality or acceptability of the services performed and the manner of performance, the acceptable completion of this Agreement and the amount of compensation due. In the event the CONSULTANT and the City cannot agree to the quality or acceptability of the work, the manner of performance and/or the compensation payable to the CONSULTANT in this Agreement, the City or the CONSULTANT shall give to the other written notice. Within ten (10) business days, the CONSULTANT and the City shall each prepare a report which supports their position and file the same with the other party. The City shall, with reasonable diligence, determine the quality or acceptability of the work, the manner of performance and/or the compensation payable to the CONSULTANT. 6. LENGTH OF AGREEMENT. Completion dates or time durations for specific portions of the Project are set forth in Exhibit "A". 7. DISPOSITION AND OWNERSHIP OF DOCUMENTS. The Memoranda, Reports, Maps, Drawings, Plans, Specifications and other documents prepared by the CONSULTANT for this Project, whether paper or electronic, shall become the property of the CITY for use with respect to this Project, and shall be turned over to the CITY upon completion of the Project, or any phase thereof, as contemplated by this Agreement. Contemporaneously with the transfer of documents, the CONSULTANT hereby assigns to the CITY and CONSULTANT thereby expressly waives and disclaims, any copyright in, and the right to reproduce, all written material, drawings, plans, specifications or other work prepared under this agreement, except upon the CITY's prior authorization regarding reproduction, which authorization shall not be unreasonably withheld. The CONSULTANT shall, upon request of the CITY, execute any further document(s) necessary to further effectuate this waiver and disclaimer. The CONSULTANT agrees that the CITY may use, reuse, alter, reproduce, modify, assign, transfer, or in any other way, medium or method utilize the CONSULTANT's written work product for the CITY's purposes, and the CONSULTANT expressly waives and disclaims any residual rights granted to it by Civil Code Sections 980 through 989 relating to intellectual property and artistic works. 2 City's Standard Agreement — June 2008 revision Any modification or reuse by the CITY of documents, drawings or specifications prepared by the CONSULTANT shall relieve the CONSULTANT from liability under Section 14 but only with respect to the effect of the modification or reuse by the CITY, or for any liability to the CITY should the documents be used by the CITY for some project other than what was expressly agreed upon within the Scope of this project, unless otherwise mutually agreed. 8. INDEPENDENT CONSULTANT. Both parties hereto in the performance of this Agreement will be acting in an independent capacity and not as agents, employees, partners or joint venturers with one another. Neither the CONSULTANT nor the CONSULTANT'S employees are employee of the CITY and are not entitled to any of the rights, benefits, or privileges of the CITY's employees, including but not limited to retirement, medical, unemployment, or workers' compensation insurance. This Agreement contemplates the personal services of the CONSULTANT and the CONSULTANT's employees, and it is recognized by the parties that a substantial inducement to the CITY for entering into this Agreement was, and is, the professional reputation and competence of the CONSULTANT and its employees. Neither this Agreement nor any interest herein may be assigned by the CONSULTANT without the prior written consent of the CITY. Nothing herein contained is intended to prevent the CONSULTANT from employing or hiring as many employees, or subconsultants, as the CONSULTANT may deem necessary for the proper and efficient performance of this Agreement. All agreements by CONSULTANT with its subCONSULTANT(s) shall require the subCONSULTANT to adhere to the applicable terms of this Agreement. 9. CONTROL. Neither the CITY nor its officers, agents or employees shall have any control over the conduct of the CONSULTANT or any of the CONSULTANT's employees except as herein set forth, and the CONSULTANT expressly agrees not to represent that the CONSULTANT or the CONSULTANT's agents, servants, or employees are in any manner agents, servants or employees of the CITY, it being understood that the CONSULTANT, its agents, servants, and employees are as to the CITY wholly independent CONSULTANTS and that the CONSULTANT's obligations to the CITY are solely such as are prescribed by this Agreement. 10. COMPLIANCE WITH APPLICABLE LAW. The CONSULTANT, in the performance of the services to be provided herein, shall comply with all applicable State and Federal statutes and regulations, and all applicable ordinances, rules and regulations of the City of National City, whether now in force or subsequently enacted. The CONSULTANT, and each of its subCONSULTANTs, shall obtain and maintain a current City of National City business license prior to and during performance of any work pursuant to this Agreement. 11. LICENSES, PERMITS, ETC. The CONSULTANT represents and covenants that it has all licenses, permits, qualifications, and approvals of whatever nature that are legally required to practice its profession. The CONSULTANT represents and covenants that the CONSULTANT shall, at its sole cost and expense, keep in effect at all times during the term of this Agreement, any license, permit, or approval which is legally required for the CONSULTANT to practice its profession. 12. STANDARD OF CARE. A. The CONSULTANT, in performing any services under this Agreement, shall perform in a manner consistent with that level of care and skill ordinarily exercised by members of the CONSULTANT'S trade or profession currently practicing under 3 Citys Standard Agreement — June 2008 revision similar conditions and in similar locations. The CONSULTANT shall take all special precautions necessary to protect the CONSULTANT's employees and members of the public from risk of harm arising out of the nature of the work and/or the conditions of the work site. B. Unless disclosed in writing prior to the date of this agreement, the CONSULTANT warrants to the CITY that it is not now, nor has it for the five (5) years preceding, been debarred by a govemmental agency or involved in debarment, arbitration or litigation proceedings concerning the CONSULTANT's professional performance or the fumishing of materials or services relating thereto. C. The CONSULTANT is responsible for identifying any unique products, treatments, processes or materials whose availability is critical to the success of the project the CONSULTANT has been retained to perform, within the time requirements of the CITY, or, when no time is specified, then within a commercially reasonable time. Accordingly, unless the CONSULTANT has notified the CITY otherwise, the CONSULTANT warrants that all products, materials, processes or treatments identified in the project documents prepared for the CITY are reasonably commercially available. Any failure by the CONSULTANT to use due diligence under this sub -paragraph will render the CONSULTANT liable to the CITY for any increased costs that result from the CITY's later inability to obtain the specified items or any reasonable substitute within a price range that allows for project completion in the time frame specified or, when not specified, then within a commercially reasonable time. 13. NON-DISCRIMINATION PROVISIONS. The CONSULTANT shall not discriminate against any employee or applicant for employment because of age, race, color, ancestry, religion, sex, sexual orientation, marital status, national origin, physical handicap, or medical condition. The CONSULTANT will take positive action to insure that applicants are employed without regard to their age, race, color, ancestry, religion, sex, sexual orientation, marital status, national origin, physical handicap, or medical condition. Such action shall include but not be limited to the following: employment, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. The CONSULTANT agrees to post in conspicuous places available to employees and applicants for employment any notices provided by the CITY setting forth the provisions of this non-discrimination clause. 14. CONFIDENTIAL INFORMATION. The CITY may from time to time communicate to the CONSULTANT certain confidential information to enable the CONSULTANT to effectively perform the services to be provided herein. The CONSULTANT shall treat all such information as confidential and shall not disclose any part thereof without the prior written consent of the CITY. The CONSULTANT shall limit the use and circulation of such information, even within its own organization, to the extent necessary to perform the services to be provided herein. The foregoing obligation of this Section 13, however, shall not apply to any part of the information that (i) has been disclosed in publicly available sources of information; (ii) is, through no fault of the CONSULTANT, hereafter disclosed in publicly available sources of information; (iii) is already in the possession of the CONSULTANT without any obligation of confidentiality; or (iv) has been or is hereafter rightfully disclosed to the CONSULTANT by a third party, but only to the extent that the use or disclosure thereof has been or is rightfully authorized by that third party. The CONSULTANT shall not disclose any reports, recommendations, conclusions or other results of the services or the existence of the subject matter of this Agreement without the prior written consent of the CITY. In its performance hereunder, the CONSULTANT shall comply with all legal obligations it may now or hereafter have respecting the information or other property of any other person, firm or corporation. 4 Citys Standard Agreement — June 2008 revision CONSULTANT shall be liable to CITY for any damages caused by breach of this condition, pursuant to the provisions of Section 14. 15. INDEMNIFICATION AND HOLD HARMLESS. The CONSULTANT agrees to defend, indemnify, and hold harmless the City of National City, its officers and employees, against and from any and all liability, Toss, damages to property, injuries to, or death of any person or persons, and all claims, demands, suits, actions, proceedings, reasonable attorneys' fees, and defense costs, of any kind or nature, including workers' compensation claims, of or by anyone whomsoever, resulting from or arising out of the CONSULTANTs negligent performance of this Agreement. 16. WORKERS' COMPENSATION. The CONSULTANT shall comply with all of the provisions of the Workers' Compensation Insurance and Safety Acts of the State of Califomia, the applicable provisions of Division 4 and 5 of the California Government Code and all amendments thereto; and all similar state or Federal acts or laws applicable; and shall indemnify, and hold harmless the CITY and its officers, and employees from and against all claims, demands, payments, suits, actions, proceedings and judgments of every nature and description, including reasonable attorney's fees and defense costs presented, brought or recovered against the CITY or its officers, employees, or volunteers, for or on account of any liability under any of said acts which may be incurred by reason of any work to be performed by the CONSULTANT under this Agreement. 17. INSURANCE. The CONSULTANT, at its sole cost and expense, shall purchase and maintain, and shall require its subCONSULTANTs, when applicable, to purchase and maintain throughout the term of this agreement, the following insurance policies: ® A. If checked, Professional Liability Insurance (errors and omissions) with minimum limits of $1,000,000 per occurrence. B. Automobile insurance covering all bodily injury and property damage incurred during the performance of this Agreement, with a minimum coverage of $1,000,000 combined single limit per accident. Such automobile insurance shall include owned, non -owned, and hired vehicles ("any auto"). C. Commercial general liability insurance, with minimum limits of $1,000,000 per occurrence/$2,000,000 aggregate, covering all bodily injury and property damage arising out of its operations under this Agreement. D. Workers' Compensation insurance in an amount sufficient to meet statutory requirements covering all of CONSULTANT'S employees and employers' liability insurance with limits of at least $1,000,000 per accident. In addition, the policy shall be endorsed with a waiver of subrogation in favor of the City. Said endorsement shall be provided prior to commencement of work under this Agreement. E. The aforesaid policies shall constitute primary insurance as to the CITY, its officers, employees, and volunteers, so that any other policies held by the CITY shall not contribute to any loss under said insurance. Said policies shall provide for thirty (30) days prior written notice to the CITY of cancellation or material change. F. Said policies, except for the professional liability and workers' compensation policies, shall name the CITY and its officers, agents and employees as additional insureds, and separate additional insured endorsements shall be provided. G. If required insurance coverage is provided on a "claims made" rather than "occurrence" form, the CONSULTANT shall maintain such insurance coverage for three years after expiration of the term (and any extensions) of this Agreement. In addition, the "retro" date must be on or before the date of this Agreement. 5 Citys Standard Agreement — June 2008 revision H. Any aggregate insurance limits must apply solely to this Agreement. I. Insurance shall be written with only Califomia admitted companies which hold a current policy holder's alphabetic and financial size category rating of not less than A VIII according to the current Best's Key Rating Guide, or a company equal financial stability that is approved by the City's Risk Manager. In the event coverage is provided by non -admitted "surplus lines" carriers, they must be included on the most recent Califomia List of Eligible Surplus Lines Insurers (LESLI list) and otherwise meet rating requirements. J. This Agreement shall not take effect until certificate(s) or other sufficient proof that these insurance provisions have been complied with, are filed with and approved by the CITY's Risk Manager. If the CONSULTANT does not keep all of such insurance policies in full force and effect at all times during the terms of this Agreement, the CITY may elect to treat the failure to maintain the requisite insurance as a breach of this Agreement and terminate the Agreement as provided herein. K. All deductibles and self -insured retentions in excess of $10,000 must be disclosed to and approved by the CITY. 18. LEGAL FEES. If any party brings a suit or action against the other party arising from any breach of any of the covenants or agreements or any inaccuracies in any of the representations and warranties on the part of the other party arising out of this Agreement, then in that event, the prevailing party in such action or dispute, whether by final judgment or out -of -court settlement, shall be entitled to have and recover of and from the other party all costs and expenses of suit, including attomeys' fees. For purposes of determining who is to be considered the prevailing party, it is stipulated that attomey's fees incurred in the prosecution or defense of the action or suit shall not be considered in determining the amount of the judgment or award. Attorney's fees to the prevailing party if other than the CITY shall, in addition, be limited to the amount of attorney's fees incurred by the CITY in its prosecution or defense of the action, irrespective of the actual amount of attomey's fees incurred by the prevailing party. 19. MEDIATION/ARBITRATION. If a dispute arises out of or relates to this Agreement, or the breach thereof, the parties agree first to try, in good faith, to settle the dispute by mediation in San Diego, Califomia, in accordance with the Commercial Mediation Rules of the American Arbitration Association (the "AAA") before resorting to arbitration. The costs of mediation shall be borne equally by the parties. Any controversy or claim arising out of, or relating to, this Agreement, or breach thereof, which is not resolved by mediation shall be settled by arbitration in San Diego, Califomia, in accordance with the Commercial Arbitration Rules of the AAA then existing. Any award rendered shall be final and conclusive upon the parties, and a judgment thereon may be entered in any court having jurisdiction over the subject matter of the controversy. The expenses of the arbitration shall be bome equally by the parties to the arbitration, provided that each party shall pay for and bear the costs of its own experts, evidence and attorneys' fees, except that the arbitrator may assess such expenses or any part thereof against a specified party as part of the arbitration award. 20. TERMINATION. A. This Agreement may be terminated with or without cause by the CITY. Termination without cause shall be effective only upon 60-day's written notice to the CONSULTANT. During said 60-day period the CONSULTANT shall perform all services in accordance with this Agreement. B. This Agreement may also be terminated immediately by the CITY for cause in the event of a material breach of this Agreement, misrepresentation by the 6 Citys Standard Agreement — June 2008 revision CONSULTANT in connection with the formation of this Agreement or the performance of services, or the failure to perform services as directed by the CITY. C. Termination with or without cause shall be effected by delivery of written Notice of Termination to the CONSULTANT as provided for herein. D. In the event of termination, all finished or unfinished Memoranda Reports, Maps, Drawings, Plans, Specifications and other documents prepared by the CONSULTANT, whether paper or electronic, shall immediately become the property of and be delivered to the CITY, and the CONSULTANT shall be entitled to receive just and equitable compensation for any work satisfactorily completed on such documents and other materials up to the effective date of the Notice of Termination, not to exceed the amounts payable hereunder, and less any damages caused the CITY by the CONSULTANT's breach, if any. Thereafter, ownership of said written material shall vest in the CITY all rights set forth in Section 6. E. The CITY further reserves the right to immediately terminate this Agreement upon: (1) the filing of a petition in bankruptcy affecting the CONSULTANT; (2) a reorganization of the CONSULTANT for the benefit of creditors; or (3) a business reorganization, change in business name or change in business status of the CONSULTANT. 21. NOTICES. All notices or other communications required or permitted hereunder shall be in writing, and shall be personally delivered; or sent by ovemight mail (Federal Express or the like); or sent by registered or certified mail, postage prepaid, return receipt requested; or sent by ordinary mail, postage prepaid; or telegraphed or cabled; or delivered or sent by telex, telecopy, facsimile or fax; and shall be deemed received upon the earlier of (i) if personally delivered, the date of delivery to the address of the person to receive such notice, (ii) if sent by overnight mail, the business day following its deposit in such overnight mail facility, (iii) if mailed by registered, certified or ordinary mail, five (5) days (ten (10) days if the address is outside the State of Califomia) after the date of deposit in a post office, mailbox, mail chute, or other like facility regularly maintained by the United States Postal Service, (iv) if given by telegraph or cable, when delivered to the telegraph company with charges prepaid, or (v) if given by telex, telecopy, facsimile or fax, when sent. Rejection or other refusal to accept or the inability to deliver because of changed address of which no notice was given shall be deemed to constitute receipt of the notice, demand, request or communication sent. Any notice, request, demand, direction or 7 Citys Standard Agreement — June 2008 revision other communication sent by cable, telex, telecopy, facsimile or fax must be confirmed within forty-eight (48) hours by letter mailed or delivered as specified in this Section. 22. CONFLICT OF INTEREST AND POLITICAL REFORM ACT OBLIGATIONS. During the term of this Agreement, the CONSULTANT shall not perform services of any kind for any person or entity whose interests conflict in any way with those of the City of National City. The CONSULTANT also agrees not to specify any product, treatment, process or material for the project in which the CONSULTANT has a material financial interest, either direct or indirect, without first notifying the CITY of that fact. The CONSULTANT shall at all times comply with the terms of the Political Reform Act and the National City Conflict of Interest Code. The CONSULTANT shall immediately disqualify itself and shall not use its official position to influence in any way any matter coming before the CITY in which the CONSULTANT has a financial interest as defined in Government Code Section 87103. The CONSULTANT represents that it has no knowledge of any financial interests that would require it to disqualify itself from any matter on which it might perform services for the CITY. ❑ If checked, the CONSULTANT shall comply with all of the reporting requirements of the Political Reform Act and the National City Conflict of Interest Code. Specifically, the CONSULTANT shall file a Statement of Economic Interests with the City Clerk of the City of National City in a timely manner on forms which the CONSULTANT shall obtain from the City Clerk. The CONSULTANT shall be strictly liable to the CITY for all damages, costs or expenses the CITY may suffer by virtue of any violation of this Paragraph 21 by the CONSULTANT. 23. MISCELLANEOUS PROVISIONS. A. Computation of Time Periods. If any date or time period provided for in this Agreement is or ends on a Saturday, Sunday or federal, state or legal holiday, then such date shall automatically be extended until 5:00 p.m. Pacific Time of the next day which is not a Saturday, Sunday or federal, state or legal holiday. B. Counterparts. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which, together, shall constitute but one and the same instrument. C. Captions. Any captions to, or headings of, the sections or subsections of this Agreement are solely for the convenience of the parties hereto, are not a part of this Agreement, and shall not be used for the interpretation or determination of the validity of this Agreement or any provision hereof. D. No Obligations to Third Parties. Except as otherwise expressly provided herein, the execution and delivery of this Agreement shall not be deemed to confer any rights upon, or obligate any of the parties hereto, to any person or entity other than the parties hereto. E. Exhibits and Schedules. The Exhibits and Schedules attached hereto are hereby incorporated herein by this reference for all purposes. F. Amendment to this Agreement. The terms of this Agreement may not be modified or amended except by an instrument in writing executed by each of the parties hereto. G. Waiver. The waiver or failure to enforce any provision of this Agreement shall not operate as a waiver of any future breach of any such provision or any other provision hereof. H. Applicable Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California. 8 City's Standard Agreement — June 2008 revision I. Entire Agreement. This Agreement supersedes any prior agreements, negotiations and communications, oral or written, and contains the entire agreement between the parties as to the subject matter hereof. No subsequent agreement, representation, or promise made by either party hereto, or by or to an employee, officer, agent or representative of any party hereto shall be of any effect unless it is in writing and executed by the party to be bound thereby. J. Successors and Assigns. This Agreement shall be binding upon and shall inure to the benefit of the successors and assigns of the parties hereto. K. Construction. The parties acknowledge and agree that (i) each party is of equal bargaining strength, (ii) each party has actively participated in the drafting, preparation and negotiation of this Agreement, (iii) each such party has consulted with or has had the opportunity to consult with its own, independent counsel and such other professional advisors as such party has deemed appropriate, relative to any and all matters contemplated under this Agreement, (iv) each party and such party's counsel and advisors have reviewed this Agreement, (v) each party has agreed to enter into this Agreement following such review and the rendering of such advice, and (vi) any rule or construction to the effect that ambiguities are to be resolved against the drafting party shall not apply in the interpretation of this Agreement, or any portions hereof, or any amendments hereto. What these studies do have to deal with, at different levels of intensity, are the issues the city has asked about: legal, political and perceptual. Citygate excels in coaching the project team and stakeholders along the way to build a shared understanding about what factual data is saying about the needs of National City and the pros and cons of various service levels. Our reports then explain the fundamental regulatory and policy choice background for a city council to "purchase" the level of service it needs and can afford. We then describe options and outcomes for the community to choose from as represented by its city council. Section 2—Project Analysis page 1 1K SECTION 3-OBJECTIVE, WORK STATEMENT, AND METHODOLOGY C11 YGA TE'S APPROACH TO COMPLETING THE WORK ('itvgate's Work Plan to conduct a fire response study is presented in this section. Our deploy meat Work Plan is comprised of five tasks. The presentation of our deployment Work Plan describes each of the tasks in more detail including sub -tasks and a description of the work to be accomplished in each task. We intend to review our Work Plan and schedule with the City prior to beginning work. After obtaining additional input, we will finalize our Work Plan and the accompanying schedule. Citygate's Work Plan has been developed consistent with our Project Team member's experience in fire administration. We utilize various National Fire Protection Association (NFPA) publications as best practice guidelines, along with the self -assessment criteria of the Center for Public Safety Excellence (formally the Commission on Fire Accreditation International). We do not use simple, nor one -size -fits -all measures. A study of this breadth and depth must include not only the analysis of multiple facts and variables, but is only as good as the professionals drawing conclusions from the data elements. "Fhis is what sets the Citygate team apart, as current and recent practicing professionals in fire administration, the City of National City is, in effect, getting the opinions of an external "seasoned department head team," not the opinions of junior staff members or consultants who have spent little time on the front lines managing in local government. Standard of Response Cover Review Components The scope of the envisioned project will include the following elements: • This study will provide the Department with revised draft response performance goals from which it can adjust, if needed, the quantity, staffing and location of fire stations. • While this is not a study of fire departments adjacent to the City, the study will consider the impacts of the City's existing or potential mutual aid agreements on the City's needs. • The performance goals will be consistent with national guidelines from the National Fire Protection Association (NFPA), the Center for Public Safety Excellence (formally CFAI) and the Insurance Services Office (ISO). • Citygate will use a fire department analysis geo-mapping software program called FireViewTM to analyze current and future fire station locations by driving time. • Citygate will use an incident response time analysis program called "NFIRS 5 Alive" to review the statistics of prior actual historical performance. The core methodology used by Citygate in the scope of its deployment analysis work will be that of the "Standards of Response Coverage" 4th Edition, which is a systems approach to fire department deployment, as published by the Center for Public Safety Excellence (formally the Commission on Fire Accreditation International). This is a systems -based approach using local risk and demographics to determine the level of protection best fitting the City's needs. Existing deployment — each agency has something in place today. ➢ The Citygate team would understand existing deployment strategies, performance measures and propose ones for use in this study to the Department project team. 2. Community outcome expectations — what is expected of the response agency? ➢ Citygate would help the Department and City Council to understand community expectations for fire, EMS and special hazard responses. 3. Community risk assessment — what assets are at risk in the community? ➢ Citygate would work with the Department staff to deploy the U.S. Fire Administration risk assessment program called RHAVE and use it to determine risk in the community at a zone level. We will also help the Department to obtain their ISO building evaluation rating data file and plot the higher fire flow locations on repose mapping studies. ➢ We would assist the Department in performing critical task analysis to determine appropriate staffing to meet risk control expectations. ➢ Using the above, we would work with the Department leadership to establish performance measures by risk type. 4. Distribution Study — the locating of first -due resources (typically engines). ➢ Citygate will use the FireViewTM software GIS mapping tool to study the effectiveness of existing station locations to meet the developed performance goals for first -due, all-risk units. 5. Concentration Study — first alarm assignment or effective response force studies. 6. Historical reliability — is there a multiple call frequency issue (call stacking) problem? ➢ Citygate will analyze incident data to determine if multiple calls are affecting performance. 7. Historical response effectiveness studies — what percent of compliance does the existing system deliver? 8. Overall evaluation with proposed Standard of Cover statements by risk type. ➢ Citygate will advise the Department project staff on a revised Standard of Cover set of policies by risk type for the Department. ➢ Changes in deployment, or relocated station(s), will be identified along with timing. We understand the deployment study must address, at a minimum, the following questions: 1. Establish current baseline service levels for the City as deployed today. 2. Identify current equipment, facility, and staffing and organizational structures. 3. Perform a comparison of existing levels of service to standard service levels such as those recommended in NFPA # 1710. Section 3—Objective, Work Statement, and Methodology page 3 4. Determine the cost of changes and impacts to fire response times. 5. Identify specific facility, equipment, staffing and organization changes. if appropriate, to meet the recommendations of NFPA 41710. Determine the cost of such changes and the impacts to fire response times. 6. Review the development planned for the City and determine the likely impacts to the fire deployment system including facilities. equipment. staffing and organizational structure resources, on both the current and proposed deployment plans. 7. Propose a potential location for a 3`d fire station based on the analysis of the data, if necessary. WORK PLAN TASK SEQUENCE Task 1: Initiate and Manage the Project, Collect Background Data and Conduct First Site Meeting Subtasks: Citygate Fire Practice Principal Stewart Gary and the City project representatives will hold a startup meeting to refine the issues to be addressed by and the objectives of, schedule, budget, and methods of data collection and analysis for this study. • Develop detailed Work Plan schedule for the project ➢ We will develop a detailed work schedule and final project schedule for the project. These tools will assist both the consultants and City staff to monitor the progress of the study. • Meet with City representatives to initiate study ➢ A key to a successful consulting engagement is a mutual understanding of the project's scope and objectives. The members of our team will meet with the City representatives to correlate our understandings of the study's scope, and ensure that our Work Plan and project schedule are mutually agreeable. This early effort to clearly define expectations, roles and lines of communications should result in better focus on substantive issues as the engagement progresses. • Obtain and review City documentation ➢ At this juncture in the project we will develop and submit a list of all documents relevant to this project, including National City's General Plan, growth forecasts, any appropriate prior studies, to Fire Department documentation including (as available) dispatch data, fleet inventory, facility condition assessments, and a myriad of other information. Once we receive the requested documentation from the City we will review it prior to conducting our interviews in the following subtask. We have found that reviewing this information prior to our interviews improves the Section 3—Objective, Work Statement, and Methodology page 4 airrn r. ;a m. tic effectiveness and value of the interviews we conduct, since it results in more specific questions and more definitive information. • Conduct the first site meeting ➢ In this meeting we will explain the essential Standards of Response Coverage elements to the leadership team and to continue to collect information about the Department and community. During this visit, we will also tour the City to obtain on -site observations and brief the Department study team on risk assessment and staffing measurement techniques. Citygate will require the Department's assistance in the development of specific risk assessment and staff measurement factors. • Interview City leadership and Fire Chief ➢ To enhance our understanding of the issues at stake in this project, we will meet with, as appropriate and directed, the City Manager, Fire Chief, as well as members of the City staff who frequently interact with or have an interdependent relationship with the Fire Department. • Interview City Fire Department staff ➢ To enhance our understanding of the issues at stake in this project, we will meet with, as appropriate and directed, the members of the Department as represented on the project steering committee. • Monitor engagement progress and completion of tasks We have combined the initial task of starting the project with the ongoing task of monitoring, directing and administering the project. We will hold the appropriate initial meetings to collect information and provide monthly written status reports and oral communications, as needed. Task 2: Risk Assessment and Response Analysis Model Building Subtasks: • Insert GIS data layers, risk type information, travel time performance measure(s) and calls -for -service data into the geographic mapping program. • Obtain an incident data export for our statistician to model workload performance using the NFIRS 5 Alive program. • Obtain the Insurance Service Office building risk assessment data for structure fire risk modeling. • If National City so chooses, working with the National City fire staff, we will use the Risk Hazard and Evaluation Tool (RHAVE) to conduct a structure fire risk assessment on a demand zone basis. • Work with the fire department staff to conduct critical task time measures of fire crew on -scene performance for structure fire and medical rescue scenarios. • Evaluate incident data by existing station locations. Task 3: Analysis and Brief the Department Team on Preliminary Findings Subtasks: • Receive the Fire Department risk and staffing critical tasking measures. • Using forward -looking risk demographics, project future staffing needs. • Perform initial travel time studies on fire crew locations. • Complete the GIS mapping and statistical assessment of current and any changed deployment plan(s). • Undertake a comprehensive evaluation of all the issues affecting fire crew deployment in the City and potential annexation areas. • Prepare a PowerPoint based briefing of the response analysis data key findings, impacts to the current deployment systems and outline Citygate's initial recommendations. Task 4: Prepare and Deliver Draft Report Subtasks: • Prepare a Draft Report and supporting exhibits. • Answer questions and receive verbal or written feedback. • Upon completion of the Draft Report, an electronic version in MS -Word will be sent to the City project manager for comments using the track changes and insert comments tools in Word. Our normal practice is to review a draft of our report with management personnel to ensure that the factual basis for our recommendations is correct and to allow time for a thorough review. In addition, we take time to discuss any areas that require further clarification or amplification. It is during this time that understandings beyond the written text can be communicated. • We will schedule a teleconference with the Department leadership to discuss the draft findings, answer any questions and agree on elements for the Final Report. Section 3—Objective, Work Statement, and Methodology page 6 anrig man ,K Task 5: Prepare and Deliver the Final Report with Executive Summary, Recommendations and Long -Range Deployment Plan Subtasks: • The process of Final Report preparation is an important one. Implicit in this process is the need for a sound understanding of how our review was conducted, what issues were identified, why our recommendations were made and how implementation should be accomplished. • Prepare Final Report and oral presentation ➢ Based on the results of our Draft Report review process, we will then prepare an Executive Summary and a Final Report to the City and Fire Department leadership. > This task includes an oral presentation to the City Manager and City Council using a PowerPoint presentation. Final Report Components As required by the Department, our final work product will include: 1. An analysis of the effectiveness of current fire station locations; 2. An analysis of the efficiency of the current deployment scheme of resources within the Department's fire stations; 3. An analysis of the Fire Department's ability to meet the listed standards; 4. As required, recommendations for changes in fire station locations to meet the current needs of the City and to optimize service delivery; 5. Recommendations for deployment of new resources if needed to meet current and future needs; 6. Provision of supporting data and rationale for all recommendations; 7. Provision of supporting colored maps and other visual data to fully illustrate the current situation and consultant recommendations. This information shall be provided in both hard copy format and computerized format with accompanying Microsoft PowerPoint presentation; The Final Report, statistics, and maps will be provided in five (5) bound, hard copies, and it will also be delivered electronically in Adobe Acrobat (.PDF) format. Deployment Software NFIRS 5 Alive Coordinated Purchase Option At the conclusion of the study, the City may purchase NFIRS 5 ALIVE, loaded with the study data for a single user price of $1,196, which is discounted $299. This price would include web - based software training from the developer. Section 3—Objective, Work Statement, and Methodology ri Page 7 COM assxJ US IK TENTATIVE SCHEDULE Citygate is aware that the City of National City desires to complete this project within 45 days of issuing a purchase order. Citygate has always delivered on time, when the client has been able to meet their timeline obligations. We have the capacity this summer to complete the analysis and deliver the draft findings briefing within 45-60 days. However, in our experience, these projects typically take four to five months from start to final City Council presentation. Each of our work tasks outlined above typically takes one month each. Most clients find it very difficult to completely stop existing work to prepare information requests, re -arrange the schedules of multiple stakeholders to meet with Citygate members and review draft reports very quickly. If a 45-day timeline were the preferred approach, Citygate and the City would have to agree that: 1. Citygate Task #1 would take 1 week; 2. Citygate Tasks #2 and #3 would each take 2 weeks; 3. Citygate Task #4 would take 1 week; 4. Citygate Task #5, preparing Final Report, would occur within 55 days and a city leadership briefing to occur at the City's convenience anytime after 55 days; 5. For the necessary on -site meetings in Tasks #1 and #3, while Citygate has some flexibility, we also have other client visits already scheduled several months out. Given this, the City might have to re -arrange its staff member schedules to meet on open dates offered by Citygate. On the following page, Citygate presents an example of our standard five -month Work Plan, highlighting key project milestones and deliverables, including the delivery of a preliminary findings briefing after 45 days. For the National City project, we have assembled a team that includes senior consultants along with geo-mapping and statistical analysis support. Below, we list each consultant by name and the role each will fulfill as well as the hours they will use in the execution of this project. Full resumes for the consultants can be found in Appendix B. Mr. David`C. DeRoos, MPA, CMC, Citvaate President Mr. DeRoos has over 20 years experience as a consultant to local government, proceeded by 5 years as an assistant to the city administrator in a northern California city. He earned his undergraduate degree in Political Science/Public Service (Phi Beta Kappa) from the University of California, Davis and holds a Master of Public Administration degree from the University of Southern California. Prior to becoming a Principal in Citygate in 1991, he was a Senior Manager in the local government consulting division of Ernst & Young. Mr. DeRoos is responsible for ensuring the project is conducted smoothly and efficiently within the schedule and budget allocated, and that project deliverables meet Citygate's quality standards. Mr. DeRoos will spend 8 hours on this project. Chief Stewart W. Gary, MPA, Fire Services Principal Mr. Gary is the recently retired Fire Chief of the Livermore -Pleasanton Fire Department in Alameda County, California. For the past thirteen years, he has been the lead instructor and program content developer for the Standards of Coverage process. For many years he annually taught a 40-hour course on this systems approach for fire deployment at the California Fire Academy and he teaches and consults across the United States and Canada on the Standards of Response Coverage process. He has worked with a variety of communities on deployment studies. As Fire Services Principal, Mr. Gary will be the lead consultant on this project, will conduct the site meetings, direct the analysis and form the conclusions. Mr. Gary will spend 80 hours on this project. Michael D. Fay, Statistical Specialist Mr. Fay has over 30 years experience and has served as a firefighter, educator, consultant and publisher. As President of Animated Data, Inc., he is the designer and publisher of NFIRS 5 Alive (see brochure in Appendix D). Using standard NFIRS 5 datasets, NFIRS 5 Alive quickly performs diagnostic analysis of fire department operations. For this project, Mr. Fay will provide statistical analysis of prior incident response times. Mr. Fay will spend 35 hours on this project. The City has the capability to collect some internal data that can assist the Citygate study where the City is in the best position to prepare data elements within the Standards of Response Coverage methodology. Therefore, the City will assist Citygate with: • Collecting and sending relevant GIS data (if any) from City sources to Citygate. This is especially needed for proposed subdivisions and major streets not yet built, but in the General Plan's traffic circulation element. This proposal assumes the City has adequate GIS information from which to perform fire station travel routing over the street network. If this is not the case, then Citygate will have to purchase adequate GIS information from a public GIS data vendor at an approximate additional cost of $2, 755. • Providing electronic incident response data in a format requested by Citygate. • If the Department chooses, and as directed by Citygate, use the Risk Hazard and Value Assessment tool (RHAVE) published by the U.S. Fire Administration to prepare a risk assessment determination by response areas. • Conducting critical task time measurement experiments to analyze crew effectiveness and sizing issues. • Providing other background demographic City data as requested by Citygate. The studies included numerous tasks such as identifying and documenting the attitudes of employees, analyzing existing programs and service levels, evaluating the current operations assessing the adequacy of organizational structure and management staffing levels, and identifying modifications. Mr. DeRoos is a member of several professional and civic associations. He has taught for the U.C. Now in his 37'h year in the Fire Service, Mr. Gary began as a volunteer and worked his way up through the ranks, including his service as a Paramedic for five years. Mr. Gary started his career with the City of Poway in San Diego County, attaining the rank of Battalion Chief/Fire Marshal. He subsequently served as the Administrative Battalion Chief for the Carlsbad Fire Department in San Diego County. He was appointed Fire Chief for the City of Livermore, CA in January 1994, and two years later, he successfully facilitated the peer -to -peer merger of the Livermore and Pleasanton Fire Departments into one seamless ten -company department from which he recently retired as Chief. This successful consolidation was awarded the esteemed Helen Putnam award for excellence and innovation by the California League of Cities in 1999. Mr. Gary has both a Bachelors and Master's degree in Public Administration from San Diego State University. He holds an Associate in Fire Science Degree from Miramar Community College in San Diego, a Certificate in Fire Protection Administration from San Diego State, and he has attended hundreds of hours of seminar course work in fire protection. Mr. Gary has served in elected professional positions, including: President, California League of Cities, Fire Chiefs Department and Chairperson, San Diego County Paramedic Agencies. He has been involved in progressive responsibility for creating or implementing fire protection policy on the local, state and national levels. He advised County GIS on how to prepare the necessary mapping and response statistics analysis. He then coached the project manager on collecting risk assessment information on each rural area, which he then wove into an integrated draft set of risk statements and proposed response policies for each rural area. • In 2000, Mr. Gary was the lead deployment consultant on a team that developed a new strategic plan for the San Jose Fire Department. The final plan, which used Appendix B—Project Team Resumes page 59prft,ri,ssm.t the accreditation system methods and Standards of Response Coverage tools, was well received by the Department and City Council, which accepted the new strategic plan on a 9-0 vote. • In 1996, Mr. Gary successfully studied and then facilitated the peer -to -peer merger of the Livermore and Pleasanton Fire Departments into one seamless ten - company department for which he serves as Chief. The LPFD represents one of the few successful city -to -city fire mergers in California. The LPFD consists of 128 total personnel with an operating budget for FY 00/01 of $18M. Service is currently provided from eight stations and a training facility. Two additional stations are under construction. • In 1995, Mr. Gary began working with the International Association of Fire Chiefs and International City Management Association Accreditation project on the Standards of Cover system for fire service deployment. He re -worked the material into a California manual and annually teaches a 40-hour course for the California Fire Academy. He conducts seminars on this deployment methodology for the International Fire Chiefs across the United States and Canada. • In 1994, Mr. Gary effectively led the Fire Department's adding of paramedic firefighters on all engines to increase service. Previously the Alameda County regional system was under -serving Livermore, and the local hospital emergency room was closing. Residents and the City Council approved a local EMS supplemental property tax assessment (successfully re -voted after Proposition 218) to help pay for this increased service. In 1995, Mr. Gary assisted the City Council and the firefighters union in reaching a new understanding on staffing, and a fifth Fire Company was added to better serve the Northwest area of Livermore. • During his tenure in Carlsbad, he successfully master planned and opened two additional fire stations and developed the necessary agreements between the development community and the City Council. • Mr. Gary has developed fire apparatus replacement plans; procured fire apparatus; supervised the development of community disaster preparedness and public education programs; facilitated permit streamlining programs in the Fire Prevention and Building Departments; improved diversity in the Livermore fire department by hiring the first three female firefighters in the City; supervised the Livermore City Building Department including plan check and inspection services for two years; master planned future growth in the North Livermore area for an additional 30,000 people in a "new town" area. • Mr. Gary facilitated a successful regional dispatch consolidation between Poway and the City of San Diego Fire Department. He developed and implemented fire department computer records systems for Carlsbad and Livermore. • Mr. Gary has been a speaker on the proper design of information systems at several seminars for Fire Chiefs, the California League of Cities and the Fortune 100. He has authored articles on technology and deployment for national fire service publications. Using standard CFIRS, NFIRS 4 & NFIRS 5 datasets, NFIRS 5 Alive quickly performs diagnostic analysis of fire department operations. Outputs are designed for both live and printed presentations. • Director of End2End, Inc., publisher of FirePoint RMS Systems for fire departments. Products of the firm include 40 single -user and multi-user client server applications. (Formerly Advanced Command Systems, Inc. Maynard, MA). Mr. Fay is responsible for RMS product development. • Senior Associate of Firepro Inc., a fire consulting firm specializing in fire safe building design, forensic reconstruction, and fire department consulting services. Mr. Fay directed fire scene documentation and reconstruction of dozens of large loss fires and co-authored management studies for several city fire departments. • Assistant Superintendent and Program Chair for Management Technology of the National Fire Academy, Federal Emergency Management Agency (FEMA). The mission of the National Fire Academy is to enhance the nation's fire protection services through the development and delivery of specialized programs for fire service managers, trainers and technicians. Mr. Fay directed delivery of management training courses in the Resident Programs Division, and he developed and delivered executive development training courses for chief officers of larger departments. He also established the National Fire Academy's microcomputer laboratory. Mr. Fay authored two college -level courses on the use of computer technology in the fire service and was responsible for the development and delivery of a national teleconference on management applications for fire service computers. • Field Coordinator, International Association of Fire Chiefs Apprenticeship Program. The IAFC/IAFF Apprenticeship Program developed personnel resources through the establishment of performance standards and local programs of training. Citygate began with reviewing Vista's current fmancial condition, fmancial practices and strategies, staffing and organizational arrangements, and developing recommendations addressing principal areas of the Five Year Financial Plan. Vista then commissioned Citygate to perform a Standard of Coverage analysis for the Fire Department as an input to both operating and capital budget considerations. Citygate was then asked to assist Vista with updating a full range of fire and other development impact fees, which required revising a number of city planning, facility, and capital plans to support the establishment of the impact fees. Citygate concluded a review of the current arrangement for fire protection services within the City, including review of existing city fire department performance expectations; examination of prior incident response demographic data as available; technical support to document findings of the immediate study area; and the use of fire department geo- mapping software to analyze fire station locations by driving time. The study resulted in a written report that was delivered to the Fire Chief. It contains map -based exhibits justifying any changes to fire service deployment created by the proposed city growth. All methodology used by Citygate in the scope of its work was that of the "Standards of Response Coverage" systems approach to fire department deployment. This is a systems based approach using local risk and demographics to determine the level of protection best fitting West Sacramento's needs. At the conclusion of this fire project, the City requested that Citygate provide follow-on assistance to quantify the impact of future development and calculate impact fees necessary to provide for: • Fire Protection • Police Services • Other Facilities and Infrastructure. This study assisted the partners with determining if they should create a joint agency that would be a more efficient governmental organization that will provide improved services at controlled or lower costs. The study also focused on the possibilities to streamline the allocation of resources and equipment so that the most cost- effective apparatus, facility, training, prevention and safety services are provided. Upon completion of the Final Report, Citygate was retained to provide guidance as the agencies decide whether to proceed with consolidation. Citygate conducted a high-level assessment of the feasibility of fire agency consolidation for these agencies: Pismo Beach, Arroyo Grande, Grover Beach, and the Oceano Community Services District. The partners desired an independent review of the current fire department service relationships to determine if a functional or a full consolidation of one or more departments would provide cost stabilization while maintaining effective services. Options explored include a city -owned fire department, a contract with Cal -FIRE, or full consolidation. The study included a strong volunteer fire service component. The study used geo-mapping tools to briefly review fire station service areas, conduct an assessment of current expenses and an examination of governance options. Citygate concluded facilitating discussions to finalize a list of the most critical fire service consolidation implementation issues, including what will be merged, in what order and schedule. We also assisted Seaside and Marina in reaching agreement on the issues, including research and recommendations as requested by the agencies. This study was undertaken because the Fire Department's response times have become longer, due to a high growth rate. The population growth, which is approximately 7 percent per year within the City, is the number one challenge to the Fire Department. Because of this growth, secondary to residential, commercial, and industrial development, requests for both emergency and non -emergency EMS service continue to increase annually. Citygate analyzed current needs and forecast staffing and other resource needs for both five and ten years into the future. To the extent possible, notice should include: (1) How, when and where the "occurrence" or offense took place; (2) The names and addresses of any injured persons and witnesses; and (3) The nature and location of any injury or damage arising out of the "occurrence" or offense. b. Obligations At The Insured's Own Cost No insured will, except at that insureds own cost, voluntarily make a payment, assume any obligation, or incur any expense, other than for first aid, without our consent. e. Additional Insured's Other Insurance If we cover a claim or "suit" under this Coverage Part that may also be covered by other insurance available to an additional insured, such additional insured must submit such claim or "suit" to the other insurer for defense and indemnity. However, this provision does not apply to the extent that you have agreed in a written contract, written agreement or permit that this insurance is primary and non-contributory with the additional insured's own insurance. f. When this policy is certified as proof of financial responsibility for the future under the provisions of any motor vehicle financial responsibility law, the insurance provided by the policy for "bodily injury" liability and "property damage" liability will comply with the provisions of the law to the extent of the coverage and limits of insurance required by that law. b. With respect to "mobile equipment" to whi:h this insurance applies, we will provide any liability, uninsured motorists, underinsured motorists, no-fault or other coverage required by any motor vehicle law. We will provide the required limits for those coverages. 4. Legal Action Against Us No person or organization has a right under this Coverage Form: a. To join us as a party or otherwise bring us into a "suit" asking for damages from an insured; or b. To sue us on this Coverage Form unless all of its terms have been fully complied with. A person or organization may sue us to recover on an agreed settlement or on a final judgment against an insured; but we will not be liable for damages that are not payable under the terms of this insurance or that are in excess of the applicable limit of insurance. An agreed settlement means a settlement and release of liability signed by us, the insured and the claimant or the claimant's legal representative. 5. Separation Of Insureds Except with respect to the Limits of Insurance, and any rights or duties specifically assigned in this policy to the first Named Insured, this insurance applies: a. As if each Named Insured were the only Named Insured; and b. Separately to each insured against whom a claim is made or "suit" is brought. 6. Representations a. When You Accept This Policy By accepting this policy, you agree: (1) The statements in the Declarations are accurate and complete; (2) Those statements are based upon representations you made to us; and Page 16of24 (3) We have issued this policy in reliance upon your representations. b. Other Insurance If other valid and collectible insurance is available for a loss we cover under this Coverage Part, our obligations are limited as follows: a. Under this method, each insurer's share is based on the ratio of its applicable limit of insurance to the total applicable limits of insurance of all insurers. 8. Transfer Of Rights Of Recovery Against Others To Us a. Transfer Of Rights Of Recovery If the insured has rights to recover all or part of any payment, including Supplementary Payments, we have made under this Coverage Part, those rights are transferred to us. The insured must do nothing after loss to impair them. At our request, the insured will bring "suit" or transfer those rights to us and help us enforce them. The Purchasing Department conducted the initial review, and determined that all four responses met the minimum qualifications, and were therefore eligible for competitive evaluation. A review/selection committee consisting of a Management Analyst, Firefighter and Battalion Chief from the Fire Department, individually scored the proposals, and rated the responses based on past experience, thoroughness of proposal, staff qualifications, references and cost. The proposal from CityGate Associates was ranked the highest by all three evaluators.
