BY AND BETWEEN THE CITY OF NATIONAL CITY AND
WILLIS RISK & INSURANCE SERVICES OF SAN DIEGO
This First Amendment to the Agreement by and between the City of National City and
Willis Risk & Insurance Services of San Diego is entered into this 1st day of July, 2015, by and
between the City of National City and Willis Risk & Insurance Services of San Diego [First
Amendment].
RECITALS
WHEREAS, the City of National City [City] and Willis Risk & Insurance Services of
San Diego [Willis] previously entered into the agreement entitled Agreement by and between the
City of National City and Willis Risk & Insurance Services of San Diego [Agreement], dated
July 1, 2013, for employee insurance consultant and brokerage services to the City;
WHEREAS, that Agreement provides that the City of National City may extend services
beyond the contract expiration date of June 30, 2015 in one-year increments for an additional
three years (until June 30, 2018);
WHEREAS, the City now seeks to extend the Agreement for an additional year.
AGREEMENT
NOW THEREFORE, the City and Willis agree as follows:
1. This First Amendment extends the Agreement for one year for the time period
July 1, 2015 through June 30, 2016.
2. The parties agree that each and every term of the Agreement not modified by this
Amendment shall remain in full force and effect.

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NATIONAL CITY
AUTHORIZING THE MAYOR TO EXECUTE A FIRST AMENDMENT
TO THE AGREEMENT BETWEEN THE CITY OF NATIONAL CITY AND
WILLIS INSURANCE SERVICES OF CALIFORNIA, INC., FOR INSURANCE
BROKERAGE SERVICES, EXTENDING THE TERM BY ONE YEAR
EFFECTIVE JULY 1, 2015, AND AUTHORIZING THE CITY MANAGER
TO EXECUTE UP TO TWO ADDITIONAL EXTENSIONS
OF THE AGREEMENT IN ONE YEAR INCREMENTS
WHEREAS, in July, 2013 the City Council authorized the execution of a two-year
Agreement between the City of National City and Willis Insurance Services of California, Inc.,
("Willis") for insurance brokerage services, which included a provision allowing for up to three
extensions of the term of the Agreement in one year increments for a maximum of five years;
and
WHEREAS, the Finance and Human Resources Departments are currently in the
process of implementing two legislative mandates: the federal Patient Protection and Affordable
Care Act ("PPACA") reporting requirements, and the California Paid Sick Leave Law. Failure to
comply with the provision of these mandates can result in significant financial penalties for the
City; and
WHEREAS, Willis has been a central member of the team in conducting
research and analysis related to these mandates, particularly PPACA, and the continued
support of the Willis team will facilitate a successful implementation.
WHEREAS, staff seeks the authority to exercise the first one year extension to
the Agreement through a First Amendment and to delegate the authority to execute the
remaining two extensions to the City Manager, should it be determined that such action is
warranted in the future.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of
National City hereby authorizes the Mayor to execute a First Amendment to the Agreement
between the City of National City and Willis Insurance Services of California, Inc., for insurance
brokerage services, extending the term by one year effective July 1, 2015.
BE IT FURTHER RESOLVED that the City Manager is hereby authorized to
execute up to two additional extensions of the Agreement in one year increments.

EXPLANATION:
In July, 2013 the City Council authorized the execution of an agreement between the City of National City and
Willis Insurance Services of California, Inc. (Willis) for insurance brokerage services. The authorized two year
agreement included a provision allowing for up to three extensions of the term of the agreement in one year

Fees will be paid on a commission basis. Premiums are paid to the City's benefit providers. In turn, the providers pay a
commission fee to the City's broker. Premiums are charged to departments based on a fixed cost distribution schedule.
