This Amendment to Agreement is entered into this 20th day of June, 2017, by and between the City of National City, a municipal corporation ("the CITY"), and KONICA MINOLTA BUSINESS SOLUTIONS U.S.A. INC, a Corporation (the "CONTRACTOR"). RECITALS A. The CITY and the CONTRACTOR entered into an agreement on June 19, 2012, ("the Agreement") wherein the CONTRACTOR agreed to provide 20 leased multifunctional copiers, staff training, delivery, installation, and maintenance of said copiers utilizing Western States Contracting Alliance ("WSCA") contract number 1715 - for multifunctional copiers and related software and the State of California (Participating State). B. The parties desire to amend the Agreement to extend the contract term 12 months from date of execution by both parties. NOW, THEREFORE, the parties hereto agree that the Agreement entered into on June 19, 2012, shall be amended by revised contract compensation, as set forth in the attached Exhibit "A" which is incorporated herein by reference. The parties further agree that with the foregoing exception, each and every term and provision of the Agreement dated June 19, 2012 shall remain in full force and effect. As such, there is no need to waive the bid process and wording to do so was included in the original Resolution in error. Recommended Course of Action: Pull Item #13 from the Consent Agenda. BOARD / COMMISSION RECOMMENDATION: N/A ATTACHMENTS: Explanation Contract and Exhibits A-C p,Eso‘A)1 o0 too. aov0- ‘‘3 RESOLUTION NO. 2017 — RESOLUTION OF THE CITY COUNCIL OF THE CITY OF NATIONAL CITY WAIVING THE BID PROCESS PURSUANT TO SECTION 2.60.260 OF THE NATIONAL CITY MUNICIPAL CODE BY UTILIZING NATIONAL ASSOCIATION OF STATE PROCUREMENT OFFICIALS CONTRACT NO. 7-15-70-24, AND AUTHORIZING THE MAYOR TO EXECUTE A ONE-YEAR MULTIFUNCTION COPIER LEASE AGREEMENT WITH KONICA MINOLTA BUSINESS SOLUTIONS USA, INC., FOR THE NOT TO EXCEED AMOUNT OF $98,118 WHEREAS, the City of National City is leveraging the National Association of State Procurement Officials ("NASPO") Contract No. 7-15-70-24 to meet the City's Multifunction Copier needs utilizing vendor, Konica Minolta Business Solutions, USA Inc.; and WHEREAS, the NASPO contract was created so participating states, as well as those cities, counties, public schools, and institutions of higher learning could join together in cooperative multi -state contracting for competitively bid imaging equipment and services; and WHEREAS, the City of National City currently leases twenty multifunction copiers located at various City facilities from Konica Minolta Inc., and this new one-year Lease Agreement with Konica Minolta Business Solutions USA, Inc., for the not to exceed amount of $98,118, will provide the City with continued document management services as we analyze those services in preparation for a request for proposal within the next twelve months. WHEREAS, Section 2.60.260 of the National City Municipal Code provides that the City may buy directly from a vendor at a price established through competitive bidding by another public agency whose procedures have been determined to be in substantial compliance with the City's procurement procedures, and such a determination has been made in this case. It is therefore recommended that the purchase be made without complying with the competitive bidding procedure set forth in the Municipal Code. NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of National City hereby affirms the determination that the National Association of State Procurement Officials' procurement procedures are in substantial compliance with the City's, and pursuant to Section 2.60.260 of the Municipal Code, authorizes the waiver of the bidding process. BE IT FURTHER RESOLVED that the City Council hereby authorizes the Mayor to execute a one-year Lease Agreement with Konica Minolta Business Solutions USA, Inc., for the not to exceed amount of $98,118 for the lease of twenty multifunction copiers currently located at various City facilities to provide the City with continued document management services.
