HomeMy WebLinkAbout2019 CON Project Professionals - Project Support Services CIP Program - Highland Avenue Traffic Signal Modifications - Amendment #1FIRST AMENDMENT TO AGREEMENT BETWEEN THE CITY OF NATIONAL CITY AND PROJECT PROFESSIONALS CORPORATION FOR THE HIGHLAND AVENUE TRAFFIC SIGNAL MODIFICATIONS PROJECT This First Amendment to the Caltrans Exhibit 10-R A&E Contract ("First Amendment") is entered into this 25th day of November, 2019 between the City of National City, a municipal corporation ("CITY"), and Project Professionals Corporation, a California corporation (the "CONSULTANT"). RECITALS WHEREAS, the CITY and the CONSULTANT entered into an agreement on June 6, 2017, (the "Agreement") through the adoption of City of National City Council Resolution No. 2017-88, wherein the CONSULTANT agreed to provide on -call project support services for the CITY'S CIP, including, but not limited to, project management, engineering and contract management, architecture, land surveying, environmental compliance, assessment and remediation, geotechnical, soils and materials testing, plan reviews, constructability reviews, and community outreach. WHEREAS, the City Council authorized the City Manager to execute any project specific supplemental agreements as may be required for grant funded projects. WHEREAS, the City Manager executed a Caltrans Exhibit 10-R A&E Contract ("A&E Contract") with the CONSULTANT for the Highland Avenue Traffic Signal Modification Project ("Project") for a not -to -exceed amount of $117,580.59, effective May 30, 2018 through June 5, 2019. WHEREAS, the A&E Contract may be extended by mutual agreement upon the same terms and conditions for an additional one (1) year term. WHEREAS, since the Project is still under construction, both parties desire to extend the term of the A&E Contract to June 5, 2020, and increase the not -to -exceed amount by $45,980.76, for a total A&E Contract amount of $163,561.35. AGREEMENT NOW, THEREFORE, the parties agree to amend the A&E Contract entered into on May 30, 2018, as follows: 1. Increase the not -to -exceed amount by $45,980.76, for a total Agreement amount of $163,561.35. 2. Extend the term of the A&E Contract to June 5, 2020. 3. This First Amendment shall be effective as of June 6, 2019. 4. The parties further agree that other than the foregoing amendment, each and every term and provision of the A&E Contract dated May 30, 2018, shall remain in full force and effect.
