RECEIVED JAN 2 0 2021 Office of the aty Clerk City of National City THIS FIRST AMENDMENT TO THE AGREEMENT is entered into this 9th day of November, 2020, by and between the CITY OF NATIONAL CITY ("CITY"), a municipal corporation, and NextRequest Co. ("NEXTREQUEST"), a Delaware Corporation. RECITALS WHEREAS, the CITY and NEXTREQUEST entered into an Agreement on October 24, 2018 ("the Agreement") to provide software that will assist the CITY to receive, disseminate, store, redact, and otherwise manage requests made under the California Public Records Act for $10,000, which was the amount stated on the NextRequest Order Form dated October 24, 2018, and for an initial term of one (1) year, with the option to exercise up to three (3) one-year extensions; and WHEREAS, the parties desire to extend the term of the Agreement for three (3) years, to October 31, 2022, due to the need of services to continue; and WHEREAS, the CITY experienced staff turnover and delayed onboarding due to the COVID-19 pandemic; and WHEREAS, the CITY and NEXTREQUEST negotiated amended annual costs, as follows: 1. A 50% reduction in annual fees for the November 2019-October 2020 term, which reduces the contract amount to $3,853.12; 2. A 50% reduction in annual fees for the November 2020-October 2021 term and a reduction in annual price increase from 5% to 0%, which reduces the contract amount to $3,926.95; and 3. A 25% in Rapid Review annual fees for the November 2021-October 2022 term with a reduction in annual price increase from 5% to 0%, which reduces the contract amount to $8,005.26. AGREEMENT NOW, THEREFORE, the parties hereto agree that: 1. The October 24, 2018 Agreement is hereby amended to extend the term of the Agreement to October 31, 2022. 2. NextRequest Invoices numbered 1507, 1508, and 1509 are attached to this First Amendment to the Agreement By and Between the City of National City and NextRequest ("Amendment") as Exhibit A. These invoices reflect the decreased annual costs as set out above in Paragraphs 1, 2, and 3 of the Recitals to this Amendment. In accordance with this Agreement, the total, not -to -exceed amount of the Agreement between the CITY and NEXTREQUEST is $15,785.33. By: 3. The parties further agree that, with the foregoing exceptions, each and every other term and provision of the October 24, 2018 Agreement shall remain in full force and effect.
