HomeMy WebLinkAbout2021 CON Allstate Security Services - National City Public Library - Second Amendment' SECOND AMENDMENT TO THE AGREEMENT BY AND BETWEEN THE CITY OF NATIONAL CITY AND ALLSTATE SECURITY SERVICES, INC. THIS SECOND AMENDMENT TO THE AGREEMENT, is entered into this lst day of July, 2021, by and between the CITY OF NATIONAL CITY, a municipal corporation ("CITY"), and ALLSTATE SECURITY SERVICES, INC., a California corporation (the "CONTRACTOR"). RECITALS WHEREAS, the CITY and the CONTRACTOR (collectively referred to as the "Parties") entered into an Agreement on July 1, 2019, ("the Agreement") wherein the CONTRACTOR agreed to provide security guard service for the National City Public Library. WHEREAS, the original term of the Agreement was for a period of 12 months, through June 30, 2020, for the not -to -exceed amount of $40,000. WHEREAS, the Agreement allows for an extension of the Agreement for four (4) additional one-year terms and such extensions are contingent upon mutual agreement between the Parties. WHEREAS, the Parties desire to amend the Agreement by extending the term for one year, expiring June 30, 2022, for the not -to -exceed amount of $40,000 for the period of 12 months corresponding with the City's Fiscal Year. NOW, THEREFORE, the Parties hereto agree as follows: 1. The Agreement entered into on July 1, 2019, is hereby amended to extend the term of the Agreement for one year, expiring June 30, 2022 for the not -to -exceed amount of $40,000 for each one year term, corresponding with the City's fiscal year of July 1 to June 30. 2. The Agreement entered into on July 1, 2019, is hereby amended as follows: a. Paragraph 4 titled Project Coordination and Supervision is amended to designate the Project Coordinator for the CITY as the Director of Library Services or in their absence the Acting Director of Library Services at the time. Further, CONTRACTOR will notify CITY within 10 business days of the execution of this agreement as to the Project Director assigned by CONTRACTOR. 3. Paragraph 21 titled Notices is amended as follows: Any notice, request, demand, direction or other communicated delivered or sent as specified above shall be directed to the following persons: For the CITY to the Director of Library Services or in their absence the Acting Director of Library Services; For the CONTRACTOR to the Executive Vice -President. 4. The City Manager is authorized pursuant to the Agreement to extend the term of the Agreement in one—year terms and upon same being mutually agreed to by the parties as the second one-year term extension of the four (4) extensions allowed under the Agreement. 5. The Parties further agree that with the foregoing exception, each and every other term and provision of the Agreement dated July 1, 2019, shall remain in full force and effect.
