Home My WebLink About2022 CON City of Chula Vista Animal Care Facility - Animal Shelter Services - Second AmendmentDocuSign Envelope ID: F623CA62-656E-4D25-B6A3-D4A0F41B506D SECOND AMENDMENT to Agreement between City of Chula Vista and City of National City Providing Animal Shelter Services This SECOND AMENDMENT ("Amendment") is entered into effective as of July 1, 2022 by and between the City of Chula Vista ("Chula Vista") and the City of National City ("National City") (collectively,"Parties") with reference to the following facts: RECITALS WHEREAS, in 2020 the Parties entered into the agreement titled, "Agreement Between City of Chula Vista and City of National City Providing Animal Shelter Services" ("Original Agreement"), which the Chula Vista City Council approved in Resolution 2020-233; and WHEREAS, the Original Agreement had a term of July 1, 2020 to June 30, 2021 and provided for three one-year (July 1 to June 30) options to extend; and WHEREAS, in 2021 the Parties executed a First Amendment to the Original Agreement (Chula Vista reference number 2021-043) to exercise the first of the three options to extend, for a term of July 1, 2021 to June 30, 2022, and to eliminate Section 3.1.C., Licensing, as an excluded service, because Chula Vista routinely offers licensing, when applicable, when a stray animal is claimed; and WHEREAS, in this Second Amendment, the Parties desire to extend the Original Agreement and to change payment, as more specifically set forth below. NOW, THEREFORE, in consideration of the above recitals and the mutual obligations of the parties set forth herein, the Parties agree as follows: 1. Pursuant to Article I, Term, Section 1.1.A of the Original Agreement, which provides for three (3) one-year options to extend, the second of three options to extend is exercised, for a term of July 1, 2022 to June 30, 2023. 2. Article IV, National City Obligations, Section 4.1(A) Monthly Payment, is amended to state: National City shall pay Chula Vista $32,482 monthly for the 12-month Agreement term of July 1, 2022 to June 30, 2023, for a total amount of $389,784. Should National City add an additional officer during the FY22/23 term, National City will pay Chula Vista an additional fifteen percent (15%). This fifteen -percent inflator covers the anticipated additional intake of animals from National City, with an estimate of eight (8) additional animals per month over calendar year 2021, or 95 additional animals per year. Except as expressly provided herein, all other terms and conditions of the Original Agreement, as amended in the First Amendment, shall remain in full force and effect. 4. Each Party represents that it has full right, power and authority to execute this Second Amendment and to perform its obligations hereunder, without the need for any further action under its governing instruments, and the parties executing this Amendment on the behalf of such party are duly authorized agents with authority to do so. For calendar year 2021, the Chula Vista Animal Care Facility took in 3,683 animals. Of these, 630 (*17.106%) were from the City of National City. This proposed contract extension is based on the number of animals taken in during 2021. This single calendar year utilization differs from the previous use of an average of the previous 3 years to the benefit of both parties. The City of Chula Vista is proposing to provide kenneling services to the City of National City for FY 22/23 at a contract price of $389,784, or $32,482 monthly. * Should National City add an additional officer during FY 22/23 the extension agreement will add a 15% inflator. The 15% inflator would cover the anticipated additional intake of animals from National City, with an estimate of 8 additional animals per month over calendar year 2021, or 95 additional animals per year.
